2. DELIVERY TERMS & SCHEDULE

This Purchase Order requires the Seller to deploy qualified Marine Engineer personnel to the designated locations within Colombia Bogotá and associated Colombian ports no later than August 1, 2025. All Marine Engineer assignments must comply with Colombian labor regulations, including work permits, visa processing, and registration with the local Colombia Bogotá labor office (Ministerio del Trabajo). The Seller is responsible for arranging international travel, temporary housing in Colombia Bogotá, and local transportation for all Marine Engineer staff assigned under this Purchase Order.

3. PAYMENT TERMS

Payment shall be made via international wire transfer to the Seller's designated bank account. The payment schedule for this Purchase Order is as follows:

4. TERMS AND CONDITIONS
  1. This Purchase Order is governed by the commercial laws of the Republic of Colombia and the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes arising from this Purchase Order shall be resolved through arbitration in Colombia Bogotá under the rules of the Centro de Arbitraje y Conciliación de la Cámara de Comercio de Bogotá.
  2. All Marine Engineer personnel deployed under this Purchase Order must hold valid Class 1 or Class 2 Marine Engineer certificates recognized by the Colombian Maritime Authority (Autoridad Marítima de Colombia) and must possess a minimum of five (5) years of relevant experience in commercial vessel operations.
  3. The Seller warrants that all Marine Engineer services rendered shall conform to the specifications outlined in this Purchase Order, applicable IMO regulations, and Colombian maritime and environmental legislation. Non-conforming work shall be rectified at the Seller's sole expense within fifteen (15) business days of written notice from the Buyer.
  4. The Buyer reserves the right to inspect the work of the Marine Engineer team at any reasonable time during the performance period. Inspection reports shall be filed with the Buyer's Colombia Bogotá operations office within five (5) business days of each inspection.
  5. Force majeure events, including but not limited to natural disasters affecting Colombia Bogotá, port closures, or government-mandated shutdowns, shall extend the delivery timeline proportionally. The affected party must provide written notice within seventy-two (72) hours of the event's occurrence.
  6. All intellectual property, technical reports, and documentation produced by the Marine Engineer team during the performance of this Purchase Order shall become the exclusive property of the Buyer upon full payment.
  7. The Seller shall maintain comprehensive professional liability insurance and workers' compensation coverage for all Marine Engineer personnel operating within Colombia Bogotá and Colombian territorial waters, with minimum coverage of USD 2,000,000 per occurrence.
  8. Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical data, vessel specifications, and operational information exchanged under this Purchase Order. This obligation survives the termination of this Purchase Order for a period of five (5) years.
  9. This Purchase Order constitutes the entire agreement between the parties regarding the subject matter herein and supersedes all prior negotiations, representations, or agreements, whether written or oral.
