- Scope of Purchase Order: This Purchase Order authorizes the Supplier to furnish all Marine Engineer equipment, components, software, and professional services as itemized above for delivery and installation at the Buyer's facility located in Colombia Medellín, Antioquia. All items must conform to the specifications outlined in Annex A attached to this Purchase Order.
- Delivery Terms: All physical goods shall be delivered on a CIF (Cost, Insurance, and Freight) basis to the Colombia Medellín inland port and designated marine workshop. The Supplier assumes full responsibility for packaging, export documentation, international transit, marine insurance, and customs clearance until the goods are received and inspected at the Buyer's Colombia Medellín premises.
- Payment Terms: Payment shall be made in three installments: 30% advance payment upon confirmation of this Purchase Order; 50% upon verified shipment and presentation of Bill of Lading; and 20% upon successful commissioning and acceptance of all Marine Engineer systems at the Colombia Medellín site. Payments shall be processed via international wire transfer in USD to the Supplier's designated account.
- Warranty: The Supplier warrants that all Marine Engineer equipment and components are new, unused, and free from defects in material and workmanship. The standard warranty period is twenty-four (24) months from the date of final acceptance at Colombia Medellín, or thirty (30) months from the date of shipment, whichever occurs first.
- Compliance & Certification: All Marine Engineer systems must comply with applicable International Maritime Organization (IMO) regulations, Colombian maritime authority (Aeronáutica Civil / Capitanía de Puerto) requirements, and the specific operational standards of the Colombia Medellín port authority. Certificates of conformity, type-approval documents, and material test reports must accompany each delivery.
- Intellectual Property & Software: The Marine Engineer digital twin software license is granted exclusively to the Buyer for use at the Colombia Medellín operations center. No sublicensing, reverse engineering, or transfer to third parties is permitted without prior written consent from the Supplier.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, war, embargoes, or government actions affecting the Colombia Medellín region or international shipping lanes.
- Governing Law & Dispute Resolution: This Purchase Order shall be governed by the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes arising from this Purchase Order shall be resolved by arbitration in Bogotá, Colombia, in accordance with the rules of the Centro de Arbitraje y Conciliación de la Cámara de Comercio de Bogotá.
- Validity: This Purchase Order is valid for acceptance until 31 July 2025. Failure to confirm acceptance by this date shall render this Purchase Order null and void without further notice.
