Scope of Purchase Order

Terms and Conditions
  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising from this Purchase Order relating to the Marine Engineer services in Germany Berlin shall be subject to the exclusive jurisdiction of the competent courts in Berlin, Germany.
  2. Qualification Requirements: The Marine Engineer assigned under this Purchase Order must maintain a valid Class 1 Marine Engineering Certificate, a current BSH registration, and professional liability insurance with a minimum coverage of € 2,000,000. Failure to maintain these qualifications shall constitute a material breach of this Purchase Order.
  3. Performance Standards: All services rendered by the Marine Engineer shall comply with the German Maritime Safety Regulations (SeeSchG), the International Maritime Organization (IMO) standards, and the specific operational protocols of Nordsee Maritime Industries GmbH as documented in the attached Service Level Agreement (SLA).
  4. Payment Schedule: Invoices shall be submitted monthly by the 5th business day. Payment under this Purchase Order shall be made via SEPA bank transfer to the supplier's designated account within thirty (30) calendar days of invoice receipt. Late payments shall accrue interest at the statutory rate under German commercial law (HGB § 288).
  5. Confidentiality: The Marine Engineer shall treat all technical data, operational procedures, and proprietary information encountered during the performance of services in Germany Berlin as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
  6. Termination: Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of material breach by the Marine Engineer, the buyer may terminate immediately upon written notice. Termination shall not affect accrued payment obligations.
  7. Health, Safety & Environment: The Marine Engineer shall comply with all occupational health and safety regulations applicable in Germany Berlin, including the German Occupational Safety and Health Act (ArbSchG) and the Workplace Ordinance (ArbStättV). The supplier shall ensure the Marine Engineer carries appropriate personal protective equipment (PPE) at all times.
  8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns, or port closures in Germany Berlin, provided that the affected party notifies the other within forty-eight (48) hours.
  9. Warranty of Services: The supplier warrants that all services provided by the Marine Engineer under this Purchase Order shall be performed in a professional, workmanlike manner consistent with industry standards in Germany Berlin. Any deficiencies shall be rectified at no additional cost within ten (10) business days of written notice.
  10. Amendments: No modification or amendment to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties. Verbal agreements regarding the scope of Marine Engineer services are expressly excluded.
Acceptance & Authorization
