All services described in this Purchase Order shall be performed at the Main River Port Terminal, Dock 7, 60599 Frankfurt am Main, Germany Frankfurt. The Marine Engineer is expected to report to the port authority office no later than 07:00 CET on the commencement date of 23 June 2025. All work shall be conducted in accordance with the safety protocols established by the Germany Frankfurt Port Authority and the German Maritime Accident Investigation Board (BSU). The Marine Engineer shall coordinate all on-site activities with the vessel's Chief Engineer and the NorthSea Maritime Services GmbH site supervisor stationed in Germany Frankfurt.
- Payment Method: Bank transfer (SEPA) to the account of Baltic Marine Engineering Solutions AG, IBAN: DE89 3704 0044 0532 0130 00, BIC: COBADEFFXXX.
- Payment Schedule: 40% advance payment upon acceptance of this Purchase Order; 40% upon completion of the main engine overhaul and boiler certification; 20% upon delivery of the final Marine Engineer certification report.
- Payment Due Date: Net 30 days from the date of invoice issuance. Late payments shall incur interest at the statutory rate under German commercial law (HGB § 288).
- Currency: All amounts are denominated in Euro (EUR) and subject to German VAT regulations applicable in Germany Frankfurt.
- This Purchase Order is governed by the laws of the Federal Republic of Germany. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the Regional Court (Landgericht) Frankfurt am Main, Germany Frankfurt.
- The Marine Engineer engaged under this Purchase Order must hold a valid Class 1 Marine Engineer's Certificate of Competency (STCW 2010, Regulation II/2) and a current German maritime professional license issued by the BSH.
- The Marine Engineer shall maintain full professional liability insurance with a minimum coverage of EUR 2,000,000 for the duration of the engagement in Germany Frankfurt.
- All work performed under this Purchase Order must comply with ISO 9001:2015 quality management standards and the German Industrial Safety Act (Arbeitsschutzgesetz).
- The seller warrants that all Marine Engineer services shall be performed with due professional care, using industry-standard tools and diagnostic equipment. Any defects in workmanship discovered within 12 months of completion shall be remedied at no additional cost.
- Confidentiality: All technical data, vessel specifications, and operational records accessed by the Marine Engineer during the performance of this Purchase Order in Germany Frankfurt shall remain the exclusive property of NorthSea Maritime Services GmbH and shall not be disclosed to third parties.
- Cancellation: Either party may cancel this Purchase Order with 14 days' written notice. In the event of cancellation after work has commenced, the buyer shall compensate the Marine Engineer for all work completed and materials procured up to the date of cancellation.
