1. Scope of Purchase OrderThis Purchase Order is issued by Bavarian Maritime Industrial Group GmbH, headquartered in Germany Munich, for the procurement of professional Marine Engineer services, specialized marine engineering equipment, and associated technical documentation. This Purchase Order governs the engagement of a certified Marine Engineer to oversee, design, and commission marine propulsion systems, auxiliary machinery, and integrated navigation infrastructure for the company's fleet of commercial vessels operating out of the Munich River Port and the broader Bavarian waterway network. All services rendered under this Purchase Order shall be performed at the designated facilities of Bavarian Maritime Industrial Group GmbH located at Ludwigstraße 87, 80539 Germany Munich, as well as at the company's operational berths along the Isar River and the Munich River Port (Münchner Hafen). The Marine Engineer personnel assigned under this Purchase Order shall report to the Munich site office no later than 07:00 CET on each working day. Any off-site inspections or vessel surveys within the broader Bavarian region shall be pre-approved in writing by the Procurement Director.
4. Payment TermsPayment for this Purchase Order shall be made in accordance with the following schedule: a 30% advance payment (EUR 166,058.55) upon execution of this Purchase Order; 40% (EUR 221,411.40) upon completion of the Marine Engineer personnel onboarding and equipment delivery to the Germany Munich site; and the remaining 30% (EUR 166,058.55) upon final acceptance of all deliverables, including the completion of the 12-month service contract and submission of all regulatory documentation to the German maritime authorities. All payments shall be made via SEPA bank transfer to the account specified by Nordsee Marine Engineering Solutions AG. Late payments shall incur interest at the statutory rate under Section 288 of the German Civil Code (BGB).
5. Terms & Conditions- Qualification Requirements: All Marine Engineer personnel engaged under this Purchase Order must hold a valid Class 1 or Class 3 Marine Engineer certificate issued by the German Maritime Authority (Deutsche Seeverwaltung) and possess a minimum of five years of documented experience in commercial marine propulsion and auxiliary systems.
- Compliance: The Marine Engineer shall ensure full compliance with the German Merchant Shipping Act (Seeaufgabengesetz), the International Maritime Organization (IMO) conventions as adopted in Germany, and all local regulations of the Munich Port Authority (Hafenverwaltung München).
- Insurance: The Supplier shall maintain professional liability insurance of no less than EUR 2,000,000 per occurrence, covering all Marine Engineer activities performed in Germany Munich and its surrounding operational areas.
- Confidentiality: All technical data, vessel specifications, and operational information disclosed under this Purchase Order shall be treated as strictly confidential. The Marine Engineer shall sign individual non-disclosure agreements prior to commencing work at the Germany Munich facilities.
- Warranty: All equipment delivered under this Purchase Order carries a minimum 24-month warranty from the date of installation. The Marine Engineer services carry a 12-month performance guarantee, during which any defects in service delivery shall be rectified at no additional cost.
