TERMS AND CONDITIONS
  1. This Purchase Order is governed by the laws of the Republic of Ghana and the United Nations Convention on Contracts for the International Sale of Goods (CISG).
  2. The Marine Engineer engaged under this Purchase Order must hold a valid Class 1 Marine Engineer certificate issued by a recognized maritime authority and must present a current medical fitness certificate upon arrival in Ghana Accra.
  3. All equipment listed in this Purchase Order shall be delivered to the buyer's designated warehouse at Harbour Road, Ghana Accra, no later than 1 August 2025. Late delivery shall incur a penalty of 0.5% of the total Purchase Order value per calendar day of delay.
  4. The Marine Engineer shall report to the Chief Operations Officer of Accra Maritime Services Ltd. in Ghana Accra and shall comply with all local maritime regulations enforced by the Ghana Maritime Authority.
  5. Payment shall be made within 30 days of receipt of a valid invoice referencing this Purchase Order number (PO-GHA-2025-0472). Payment shall be processed via bank transfer to the supplier's designated account.
  6. The supplier warrants that the Marine Engineer shall possess a minimum of eight (8) years of documented experience in marine propulsion systems, auxiliary machinery, and electrical installations on commercial vessels operating in West African waters.
  7. Any modifications, cancellations, or amendments to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal agreements regarding the Marine Engineer's scope of work in Ghana Accra shall not be binding.
  8. The supplier shall maintain professional liability insurance with a minimum coverage of GHS 5,000,000 for the duration of the Marine Engineer's engagement in Ghana Accra.
  9. Disputes arising from this Purchase Order shall be resolved through arbitration in Ghana Accra in accordance with the rules of the Ghana Arbitration Centre.
DELIVERY AND ACCEPTANCE

All goods and services under this Purchase Order shall be delivered to the buyer's premises in Ghana Accra. The Marine Engineer shall be considered "delivered" upon successful completion of a 48-hour onboarding and safety induction at the Ghana Accra port facility. Equipment items shall be inspected within five (5) business days of delivery. Any defects or non-conformities must be reported in writing to the supplier within the inspection period. Failure to report within this window shall constitute acceptance of the goods as conforming to this Purchase Order.
