The services procured under this Purchase Order shall include but are not limited to: detailed condition surveys of main engines, boiler systems, and refrigeration units; preparation of maintenance schedules and repair recommendations; technical liaison with classification societies including Lloyd's Register, Bureau Veritas, and Indian Register of Shipping; and the submission of monthly progress reports to the buyer's project management office located in India New Delhi.

1. This Purchase Order is governed by the laws of the Republic of India. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in India New Delhi.
2. The Marine Engineer engaged under this Purchase Order must hold a valid Class 1 Marine Engineer's Certificate of Competency issued by the DGS, Government of India, and must maintain professional indemnity insurance of not less than INR 5 Crores for the entire contract duration.
3. Payment shall be made on a monthly basis within 30 days of receipt of a valid tax invoice and the corresponding monthly progress report submitted to the buyer's accounts department in India New Delhi. Payment shall be processed via NEFT/RTGS to the seller's designated bank account.
4. The Marine Engineer shall devote a minimum of 160 working hours per month to the services described in this Purchase Order. Any additional hours beyond the stipulated commitment shall be billed at a rate of INR 3,500 per hour, subject to prior written approval from the buyer's project director.
5. All deliverables, including technical reports, survey findings, and compliance documentation, shall be submitted in both hard copy (three copies) and digital format (PDF) to the buyer's office at Connaught Place, India New Delhi, no later than the 5th business day of the following month.
6. The seller warrants that the Marine Engineer shall not be simultaneously engaged by any competing entity in the maritime sector operating out of India New Delhi or any other Indian port city during the term of this Purchase Order.
7. Either party may terminate this Purchase Order with 60 days' written notice. In the event of termination, the buyer shall be liable only for services rendered up to the effective date of termination.
8. All intellectual property, technical data, and documentation generated under this Purchase Order shall remain the exclusive property of the buyer. The Marine Engineer and the seller shall sign a Non-Disclosure Agreement (NDA) prior to the commencement of work.
9. The seller shall comply with all applicable labour laws, safety regulations, and environmental norms as prescribed by the Government of India and the municipal authorities of New Delhi.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the procurement of Marine Engineer services. This document constitutes a binding agreement effective from the date of the last signature.
