The Marine Engineer shall possess a minimum of ten (10) years of documented experience in marine propulsion systems, auxiliary machinery, hull integrity assessment, and port infrastructure maintenance. All qualifications must be verifiable and compliant with the International Maritime Organization (IMO) standards as adopted by Indonesia Jakarta maritime regulatory authorities.

4. TERMS AND CONDITIONS
  1. Acceptance: This Purchase Order shall become a binding contract upon written acceptance by the Supplier. The Supplier must confirm acceptance of this Purchase Order within five (5) business days of the date of issue. Failure to respond within this period shall render this Purchase Order null and void.
  2. Commencement of Marine Engineer Services: The Marine Engineer shall commence all services no later than 1 July 2025 at the designated Indonesia Jakarta locations specified in Section 2. Any delay in commencement must be communicated in writing to the Buyer at least three (3) business days in advance.
  3. Payment Terms: Payment for the Marine Engineer services shall be made in monthly installments, due within thirty (30) days of receipt of a valid invoice from the Supplier. Invoices must reference this Purchase Order number (PO-JKT-ME-2025-0472) and include the Supplier's NPWP registered in Indonesia Jakarta. Payment shall be made via bank transfer to the account designated by the Supplier.
  4. Qualification & Licensing: The Supplier warrants that the Marine Engineer assigned to this Purchase Order holds all necessary licenses, certifications, and work permits valid for operation in Indonesia Jakarta. The Supplier shall provide copies of all credentials upon request and shall ensure continuous compliance with Indonesian maritime labor regulations.
  5. Insurance & Liability: The Supplier shall maintain comprehensive professional liability insurance, marine engineering indemnity coverage, and workers' compensation insurance for the Marine Engineer throughout the duration of this Purchase Order. Minimum coverage shall be IDR 50,000,000,000 per occurrence. All insurance policies must name the Buyer as an additional insured party.
  6. Confidentiality: The Marine Engineer shall treat all technical drawings, vessel specifications, operational data, and commercial information of the Buyer as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
  7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach by the Supplier, the Buyer may terminate immediately upon written notice. Upon termination, the Supplier shall complete all in-progress Marine Engineer tasks and deliver all reports and documentation to the Buyer.
  8. Governing Law & Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Indonesia. Any disputes arising from this Purchase Order shall be resolved through arbitration in Indonesia Jakarta under the rules of the Indonesian National Board of Arbitration (BANI).
  9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated port closures in Indonesia Jakarta, or acts of war. The affected party must notify the other within forty-eight (48) hours.
  10. Amendments: No modification or amendment to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties. All amendments must reference this original Purchase Order number.
