This Purchase Order is issued by Persian Maritime Industrial Group Co., Ltd. (hereinafter referred to as the "Buyer") to Global Marine Engineering Solutions Ltd. (hereinafter referred to as the "Supplier") for the procurement of professional Marine Engineer services to be rendered at the Buyer's operational facilities located in Iran Tehran. The scope of work encompasses the full-time engagement of a certified Marine Engineer with a minimum of fifteen (15) years of documented experience in the design, installation, commissioning, and maintenance of marine propulsion systems, auxiliary machinery, ballast water treatment systems, and onboard electrical and automation infrastructure.

The Marine Engineer shall be responsible for overseeing all marine technical operations at the Buyer's shipyard and dry-dock facilities situated in the industrial district of Iran Tehran, specifically at the Kahrizak Industrial Zone, Tehran Province. The role requires the Marine Engineer to conduct weekly inspections, prepare detailed technical reports, supervise local maintenance crews, ensure compliance with International Maritime Organization (IMO) regulations, and coordinate with the Iranian Maritime Organization (IMO-Iran) for all statutory surveys and certification renewals.

4.1 This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon countersignature by both parties. All terms herein shall be governed by the commercial laws of the Islamic Republic of Iran and, where applicable, the United Nations Convention on Contracts for the International Sale of Goods (CISG).

4.2 The Marine Engineer assigned under this Purchase Order must hold a valid Class 1 Marine Engineer's Certificate of Competency (CoC) issued by a recognized maritime authority, along with a current STCW (Standards of Training, Certification and Watchkeeping) certificate. The Supplier shall provide certified copies of all qualifications prior to the Marine Engineer's arrival in Iran Tehran.

4.3 The Supplier is responsible for arranging international travel, work visa sponsorship coordination with the Iranian Ministry of Labor, and temporary residence permits for the Marine Engineer in Iran Tehran. The Buyer shall provide on-site accommodation, a company vehicle, and a monthly living allowance of USD 2,000 in addition to the contracted fee.

4.4 Payment shall be made in four (4) equal quarterly installments of USD 70,250.00 via irrevocable letter of credit through a mutually agreed international bank, with the first installment due within fifteen (15) business days of the Marine Engineer's confirmed arrival in Iran Tehran.

4.5 The Supplier warrants that the Marine Engineer shall maintain full professional liability insurance with a minimum coverage of USD 5,000,000 for the duration of the engagement in Iran Tehran.

4.6 Any modification to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal agreements or informal communications shall not alter the terms of this document.

4.7 In the event of non-performance or material breach by the Supplier, the Buyer reserves the right to terminate this Purchase Order with thirty (30) days' written notice and to claim damages in accordance with applicable Iranian commercial law.

The Marine Engineer engagement shall commence on 1 August 2025, upon the Marine Engineer's arrival at Imam Khomeini International Airport, Iran Tehran, and shall continue for a period of twelve (12) months, concluding on 31 July 2026, unless extended by mutual written agreement. The Purchase Order shall remain in full force and effect throughout this period.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the procurement of Marine Engineer services in Iran Tehran.
