This Purchase Order is issued by Adriatic Maritime Solutions S.r.l. (hereinafter referred to as the "Buyer") to NavTech Engineering & Consulting S.p.A. (hereinafter referred to as the "Supplier") for the professional engagement of a certified Marine Engineer to provide comprehensive technical consultancy, design oversight, and operational support services at the Buyer's principal facility located in Italy Milan. The scope of this Purchase Order encompasses the full professional services of the Marine Engineer as detailed in the line items below, and all work shall be performed in accordance with Italian maritime regulations, European Union directives, and the specific operational requirements of the Buyer's fleet management division headquartered in Italy Milan.

4.1 Scope and Compliance. The Marine Engineer engaged under this Purchase Order shall hold a valid Class 1 Marine Engineer Certificate of Competency issued under STCW 1978 (as amended) and shall be registered with the Italian maritime authority (Capitaneria di Porto) for the port of Italy Milan. All deliverables must comply with Italian Legislative Decree 171/2009 and applicable European Maritime Safety Agency (EMSA) standards.
4.2 Commencement and Duration. Services shall commence on 1 July 2025 and continue for a period of three (3) calendar months unless extended by mutual written agreement. The Marine Engineer shall report to the Buyer's Italy Milan facility at Via Porto di Milano, 42, no later than 08:00 CET on each working day.
4.3 Payment Terms. Payment shall be made via bank transfer to the Supplier's designated account within thirty (30) days of receipt of a valid invoice. Invoices must reference this Purchase Order number (PO-2025-00487) and the Buyer's VAT registration. Late payments shall incur interest at the rate of 1.5% per month as stipulated under Italian Civil Code Article 1284.
4.4 Intellectual Property. All reports, drawings, and technical documentation produced by the Marine Engineer in the course of fulfilling this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Supplier retains the right to use anonymised data for internal training purposes only.
4.5 Confidentiality. Both parties agree to maintain strict confidentiality regarding all technical, commercial, and operational information exchanged in connection with this Purchase Order. This obligation shall survive termination for a period of five (5) years.
4.6 Insurance and Liability. The Supplier shall maintain professional indemnity insurance with a minimum coverage of EUR 2,000,000 per claim, valid throughout the territory of Italy, including the metropolitan area of Italy Milan. The Marine Engineer shall be covered under the Supplier's employer's liability policy for the entire duration of the engagement.
4.7 Termination. Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the effective date of termination, as certified by the Marine Engineer's final progress report.
4.8 Governing Law and Jurisdiction. This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising herefrom shall be subject to the exclusive jurisdiction of the competent courts of Italy Milan, Province of Milan.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the Marine Engineer services to be delivered in Italy Milan. This document constitutes a binding commercial agreement upon execution by both authorised representatives.
