The Marine Engineer engaged under this Purchase Order shall hold a valid Class 1 Marine Engineer Certificate of Competency (COC) issued under the STCW Convention, as recognized by the Italian Maritime Authority (Capitaneria di Porto) and the Ministry of Transport and Infrastructure of the Republic of Italy. The engineer must possess a minimum of ten (10) years of documented experience in marine propulsion systems, auxiliary machinery, and onboard electrical installations.

The Marine Engineer shall be based at the Primary Site in Rome, Italy, and shall be available for travel to the Secondary Site as operationally required. All travel, accommodation, and subsistence costs associated with the performance of duties within the Rome, Italy metropolitan area are included in the unit rates specified above.

Payment for services rendered under this Purchase Order shall be made on a monthly basis. The supplier shall submit an itemized invoice by the 5th business day of each month for services rendered in the preceding calendar month. Payment shall be effected via bank transfer (bonifico bancario) to the supplier's designated Italian bank account within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate prescribed by Italian Legislative Decree 231/2002.

The one-time audit fee (Item 02) shall be invoiced upon completion and acceptance of the final audit report by the buyer's technical director. Training session fees (Item 05) shall be invoiced per session upon completion.

Governing Law: This Purchase Order and all services rendered hereunder shall be governed by and construed in accordance with the laws of the Italian Republic, with exclusive jurisdiction vested in the competent courts of Rome, Italy.
Qualification Maintenance: The Marine Engineer assigned to this contract shall maintain all required certifications, medical fitness certificates, and professional registrations in full force throughout the contract period. Failure to maintain valid credentials shall constitute a material breach of this Purchase Order.
Insurance: The supplier shall maintain, at its own cost, professional liability insurance with a minimum coverage of EUR 2,000,000 per occurrence, valid throughout Italy, including the Rome metropolitan area. A certificate of insurance shall be provided prior to commencement of services.
Confidentiality: All technical data, vessel specifications, operational procedures, and commercial information accessed by the Marine Engineer in the course of performing duties at the Italy Rome facilities shall be treated as strictly confidential and shall not be disclosed to any third party without prior written consent of the buyer.
Termination: Either party may terminate this Purchase Order by providing sixty (60) days' written notice. In the event of material breach, termination may be effected with fourteen (14) days' notice. Upon termination, the supplier shall complete all in-progress work and deliver all reports and documentation to the buyer.
Health and Safety: The Marine Engineer shall comply with all Italian occupational health and safety regulations (D.Lgs. 81/2008) and the specific safety protocols of the port authorities in Rome, Italy. The supplier shall ensure the engineer holds a valid port security clearance (PSO) for the relevant facilities.
Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed port closures in Italy, or pandemics, provided that the affected party notifies the other within 48 hours.
Subcontracting: The supplier shall not subcontract any portion of the Marine Engineer services without the prior written approval of the buyer. Any approved subcontractor shall be bound by the same terms and conditions as set forth in this Purchase Order.
