- Scope of Work: This Purchase Order covers the procurement of Marine Engineer personnel, associated equipment, training, and supervisory services exclusively for operations within the Japan Kyoto area. All Marine Engineer staff shall report to the Kyoto Port Authority and the Japan Kyoto inland waterway terminal as specified in the line items above.
- Delivery Schedule: All Marine Engineer personnel must be on-site and operational no later than 1 August 2025. Equipment and spare parts deliveries to the Japan Kyoto warehouse must be completed by 25 July 2025. Delays exceeding five (5) business days will incur a penalty of 0.5% of the affected line item value per day.
- Payment Terms: Payment shall be made in three (3) installments: 40% upon acceptance of this Purchase Order, 40% upon confirmed deployment of all Marine Engineer staff in Japan Kyoto, and 20% upon successful completion of the 12-month contract period. All payments shall be made via bank transfer to the supplier's designated account in Japanese Yen (JPY).
- Compliance: The supplier warrants that all Marine Engineer personnel comply with Japanese labor laws, immigration regulations, and maritime safety standards. The supplier shall maintain all necessary work permits and residence visas for foreign Marine Engineer staff operating in Japan Kyoto.
- Warranty & Liability: All equipment supplied under this Purchase Order carries a minimum 24-month warranty. The supplier assumes full liability for defects in Marine Engineer diagnostic tools and spare parts. Liability for personal injury or vessel damage caused by negligence of Marine Engineer staff shall be governed by the Japanese Civil Code and the applicable maritime insurance policy.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the supplier shall ensure an orderly transition of all Marine Engineer duties in Japan Kyoto and return all consortium-issued equipment.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes shall be resolved through arbitration in Kyoto, Japan Kyoto, under the rules of the Japan Commercial Arbitration Association.
- Confidentiality: All technical data, vessel specifications, and operational plans shared in connection with this Purchase Order are classified as proprietary to the Kyoto Marine Industrial Consortium. The supplier and all Marine Engineer personnel shall sign non-disclosure agreements prior to commencing work in Japan Kyoto.
