1. Description of Purchase — Marine Engineer Services and Equipment

This Purchase Order is issued by East African Maritime Services Ltd., headquartered in Kenya Nairobi, to procure the professional services of a qualified Marine Engineer along with associated technical equipment and consumables. 3. Terms and Conditions
  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes arising from this Purchase Order shall be resolved through arbitration in Kenya Nairobi under the rules of the Chartered Institute of Arbitrators (Kenya Branch).
  2. Payment Terms: Payment for the Marine Engineer's professional services shall be made on a monthly basis within fourteen (14) calendar days of receipt of an approved invoice. Equipment and consumable payments shall be due within thirty (30) days of delivery and acceptance at the Kenya Nairobi warehouse. All payments shall be made in Kenyan Shillings (KES) via bank transfer to the account designated by the Seller.
  3. Performance and Compliance: The Marine Engineer shall comply with all regulations issued by the Kenya Maritime Authority, the International Maritime Organization (IMO), and the flag-state requirements of each vessel in the fleet. The Marine Engineer shall submit monthly progress reports to the Buyer's operations director in Kenya Nairobi.
  4. Warranty and Defects: All equipment supplied under this Purchase Order carries a minimum twelve (12) month manufacturer's warranty. Any defective items shall be replaced or repaired at the Seller's expense within ten (10) business days of written notice from the Buyer.
  5. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall compensate the Seller for all services rendered and equipment delivered up to the effective date of termination. The Marine Engineer shall be entitled to a pro-rata portion of the annual engagement fee.
  6. Confidentiality: Both parties agree to maintain strict confidentiality regarding vessel specifications, cargo manifests, operational schedules, and proprietary engineering data. This obligation survives the termination of this Purchase Order for a period of three (3) years.
  7. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to acts of God, war, civil unrest, government sanctions, or other events beyond reasonable control, provided that the affected party notifies the other within five (5) business days.
  8. Insurance: The Seller shall maintain comprehensive professional liability insurance covering the Marine Engineer for a minimum sum of KES 20,000,000, with the Buyer named as an additional insured party. Proof of insurance shall be provided prior to the commencement of services.
4. Acceptance and Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of a Marine Engineer and the procurement of associated equipment and services, with all operations coordinated from Kenya Nairobi.
