  1. This Purchase Order is governed by the commercial laws of the United Mexican States and the specific regulations applicable to maritime and marine engineering services in Mexico Mexico City and its surrounding jurisdictions.
  2. The Marine Engineer engaged under this Purchase Order must hold a valid Class 1 Marine Engineer's License issued by the Mexican maritime authority (Sistema de Administración Marítima) and possess a minimum of ten (10) years of documented experience in marine propulsion and auxiliary systems.
  3. All services described in this Purchase Order shall be performed in accordance with the technical specifications attached hereto as Annex A, which forms an integral part of this Purchase Order and is incorporated by reference.
  4. The supplier shall ensure that the Marine Engineer maintains full professional liability insurance with a minimum coverage of MXN 5,000,000.00 for the duration of the contract, with the buyer named as an additional insured party.
  5. Payment shall be made via bank transfer to the supplier's designated account in Mexico Mexico City within thirty (30) calendar days from the date of receipt of a valid invoice (factura) compliant with Mexican SAT (Servicio de Administración Tributaria) electronic invoicing requirements (CFDI 4.0).
  6. The Marine Engineer shall report to the buyer's Marine Operations Department located at Av. Insurgentes Sur 1830, Mexico Mexico City, no later than 08:00 hours on the first business day following the required delivery date specified in this Purchase Order.
  7. Any modifications, amendments, or changes to the scope of work outlined in this Purchase Order must be agreed upon in writing by both parties and documented through a formal Change Order referencing this Purchase Order number (PO-MX-2025-04871).
  8. The supplier warrants that all marine engineering services and spare parts delivered under this Purchase Order shall be free from defects in materials and workmanship for a period of twelve (12) months from the date of final acceptance in Mexico Mexico City.
  9. In the event of a dispute arising from this Purchase Order, both parties agree to submit to the exclusive jurisdiction of the commercial courts located in Mexico Mexico City, Mexico, for resolution of any claims or disagreements.
  10. This Purchase Order shall remain in full force and effect until all obligations of both parties have been fully satisfied, or until terminated in accordance with the termination clauses set forth in the master service agreement between the parties.

All administrative, reporting, and coordination activities related to this Purchase Order shall take place at the buyer's headquarters in Mexico Mexico City. On-site vessel work involving the Marine Engineer shall be conducted at the Port of Veracruz, Veracruz, Mexico, as directed by the buyer's Marine Operations Manager. The Marine Engineer shall maintain a dedicated workstation and communication line at the Mexico Mexico City office for the duration of the engagement.
