1. SCOPE OF PURCHASE ORDER

This Purchase Order is issued by Yangon Maritime Services Co., Ltd. to procure the services and equipment of a qualified Marine Engineer for deployment at the Yangon Deep Sea Port and associated maritime facilities located in Myanmar Yangon. The Marine Engineer shall be responsible for the maintenance, inspection, troubleshooting, and operational oversight of all marine propulsion systems, auxiliary machinery, electrical installations, and safety equipment aboard the vessels and port infrastructure under the management of the Purchaser. This Purchase Order governs all terms, conditions, deliverables, and payment arrangements for the engagement of the Marine Engineer in Myanmar Yangon.

3. TERMS AND CONDITIONS
  1. Delivery and Deployment: The Marine Engineer team shall report to the designated work site at Yangon Deep Sea Port, Myanmar Yangon, no later than 1 August 2025. All travel, visa, and relocation logistics shall be coordinated by the Supplier in accordance with Myanmar immigration and labor regulations.
  2. Payment Terms: Payment for this Purchase Order shall be made in three equal installments: 30% upon execution of this Purchase Order, 40% upon successful deployment and completion of the onboarding training in Myanmar Yangon, and 30% upon satisfactory completion of the 12-month service period. All payments shall be made via international wire transfer to the Supplier's designated bank account.
  3. Qualifications: The lead Marine Engineer must hold a valid Class 1 Marine Engineer's Certificate of Competency issued by a recognized maritime authority, a minimum of eight (8) years of experience in marine propulsion and auxiliary systems, and must be proficient in English and able to communicate effectively with local Myanmar Yangon port staff.
  4. Compliance: All Marine Engineer personnel shall comply with the Myanmar Maritime Law, the Myanmar Yangon Port Authority regulations, and all applicable international maritime safety standards (SOLAS, MARPOL, ISM Code). The Supplier warrants that all Marine Engineer candidates meet the licensing requirements of the Myanmar Maritime Department.
  5. Warranty and Support: The Supplier shall provide a 90-day post-deployment support warranty for all diagnostic equipment supplied under this Purchase Order. Any defects in the Marine Engineer diagnostic tools shall be repaired or replaced at no additional cost to the Purchaser.
  6. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of early termination, the Purchaser shall be liable for all costs incurred up to the termination date, including the Marine Engineer's return travel from Myanmar Yangon.
  7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of the Union of Myanmar. Any disputes arising from this Purchase Order related to the Marine Engineer engagement in Myanmar Yangon shall be resolved through arbitration in Yangon, Myanmar, under the rules of the Myanmar Arbitration Centre.
  8. Confidentiality: The Supplier and all Marine Engineer personnel shall maintain strict confidentiality regarding the Purchaser's operational data, vessel specifications, and port security protocols observed during their tenure in Myanmar Yangon.
