- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of the Netherlands. Any disputes arising from this Purchase Order relating to Marine Engineer services in Netherlands Amsterdam shall be submitted to the competent courts of Amsterdam, Netherlands.
- Commencement and Duration: The Marine Engineer services described herein shall commence on 1 July 2025 at the Port of Amsterdam, Netherlands Amsterdam, and shall continue for a period of twelve (12) months unless terminated earlier in accordance with Clause 7.
- Payment Terms: Payment for this Purchase Order shall be made within thirty (30) calendar days of receipt of a valid invoice from the Supplier. Invoices shall reference Purchase Order number PO-2025-AMST-ME-0047. Payment shall be made via bank transfer to the account designated by Delta Marine Engineering & Consulting Group, Netherlands Amsterdam.
- Performance Standards: The Marine Engineer shall perform all duties in strict compliance with International Maritime Organization (IMO) regulations, the Netherlands Maritime Code, DNV classification rules, and all applicable environmental directives enforced by the Port of Amsterdam authority in Netherlands Amsterdam.
- Insurance and Liability: The Supplier shall maintain comprehensive professional indemnity insurance with a minimum cover of €2,000,000 per occurrence and public liability insurance of €5,000,000, valid throughout the Netherlands Amsterdam operational area for the full duration of this Purchase Order.
- Confidentiality: All technical drawings, system schematics, operational data, and proprietary information exchanged under this Purchase Order between the parties in Netherlands Amsterdam shall be treated as strictly confidential and shall not be disclosed to third parties without prior written consent.
- Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of material breach by the Marine Engineer or failure to meet performance benchmarks, the Buyer may terminate with fourteen (14) days notice. Termination shall not affect accrued payment obligations.
- Health, Safety, and Environment: The Marine Engineer shall comply with all occupational health and safety regulations applicable in the Netherlands Amsterdam port zone, including the Dutch Working Conditions Act (Arbeidsomstandighedenwet) and all Port of Amsterdam safety protocols.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to severe weather affecting the Netherlands Amsterdam port, government-mandated port closures, or acts of war.
- Amendments: No modification to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties. All amendments shall reference the original Purchase Order number PO-2025-AMST-ME-0047.
