This Purchase Order is issued by the Nigeria Maritime & Inland Waterways Authority (NIMASA), headquartered in Nigeria Abuja, for the engagement of a qualified and certified Marine Engineer to provide comprehensive technical services related to the maintenance, inspection, and operational oversight of the Authority's fleet of inland waterway vessels and associated marine infrastructure. The Marine Engineer shall be responsible for ensuring that all mechanical, electrical, and hydraulic systems aboard the vessels comply with the standards set forth by the Nigerian Maritime Administration and Safety Agency (NIMASA) and the International Maritime Organization (IMO) regulations.
The scope of work for the Marine Engineer includes, but is not limited to: routine engine room inspections, preventive maintenance of main and auxiliary engines, troubleshooting of propulsion systems, calibration of navigation and communication equipment, preparation of technical reports, and supervision of onboard technical crews. All services shall be rendered primarily at the NIMASA operational base located in Nigeria Abuja, with periodic deployment to port facilities along the Niger and Benue River systems as directed by the Authority's Operations Division.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from this Purchase Order relating to the Marine Engineer services in Nigeria Abuja shall be resolved through arbitration in Abuja, FCT, in accordance with the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria 2004.
- Payment Terms: Payment shall be made in Nigerian Naira (NGN) within thirty (30) calendar days of receipt of a valid invoice from the Supplier. The first installment of 30% (NGN 12,600,000) shall be payable upon execution of this Purchase Order and commencement of the Marine Engineer's duties. Subsequent quarterly payments of 23.33% each shall be due upon satisfactory completion of each quarter's deliverables as verified by the NIMASA Technical Oversight Committee in Nigeria Abuja.
- Performance Bond: The Supplier shall furnish a Performance Bond in the sum of 10% of the total contract value (NGN 4,200,000) from a first-class Nigerian bank, valid for the duration of this Purchase Order plus thirty (30) days.
- Qualification Requirements: The Marine Engineer assigned to this contract must hold a valid Class 1 Marine Engineer's Certificate of Competency issued by the Nigerian Maritime Administration and Safety Agency, a minimum of ten (10) years of post-certification experience in marine engineering, and a clean professional record. The Marine Engineer must be physically present in Nigeria Abuja for a minimum of five (5) working days per week.
- Insurance: The Supplier shall maintain comprehensive professional indemnity insurance and public liability insurance covering the Marine Engineer's activities in Nigeria Abuja and all operational locations, with a minimum cover of NGN 50,000,000 per occurrence.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach by the Supplier, NIMASA may terminate immediately upon written notice. Upon termination, the Marine Engineer shall hand over all technical documentation, tools, and materials to the Authority within seven (7) days.
- Confidentiality: The Marine Engineer and the Supplier shall treat all operational data, vessel specifications, and security protocols of NIMASA as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Compliance: All services rendered under this Purchase Order must comply with the Nigerian Ports Authority regulations, NIMASA operational directives, and applicable environmental standards for marine operations in the Nigeria Abuja inland waterway corridor.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to acts of God, civil unrest, government sanctions, or epidemics affecting operations in Nigeria Abuja.
The Marine Engineer shall commence duties no later than 21 July 2025 at the NIMASA Headquarters and operational base in Nigeria Abuja. All initial equipment, tools, and technical documentation required for the Marine Engineer's role shall be made available by the Supplier within the first fourteen (14) days of commencement. The Supplier shall submit a detailed work plan and schedule to the NIMASA Procurement Division in Nigeria Abuja within seven (7) days of this Purchase Order's effective date.
