1. Scope of Purchase – Marine Engineer Services and Equipment

This Purchase Order is issued by Islamabad Marine & Industrial Services (Pvt.) Ltd., headquartered in Pakistan Islamabad, to procure the professional services of a certified Marine Engineer along with associated technical equipment and support materials. The Marine Engineer shall be responsible for the design oversight, installation supervision, commissioning, and ongoing maintenance of marine propulsion systems, auxiliary machinery, and electrical installations aboard the vessel MV Islamabad Trader, currently registered under the Pakistan Shipping Authority. All work shall comply with the International Maritime Organization (IMO) regulations, the Pakistan Maritime Authority (PMA) standards, and the classification society requirements of Lloyd's Register.

3. Terms and Conditions
  1. Acceptance: This Purchase Order shall become binding upon written acceptance by the Supplier within five (5) business days of the date of issue. The Supplier's acceptance must be returned to the Buyer's procurement office located in Pakistan Islamabad.
  2. Qualification of Marine Engineer: The Marine Engineer assigned under this Purchase Order must hold a valid Class 1 Marine Engineer's Certificate of Competency issued by the Pakistan Maritime Authority, a minimum of fifteen (15) years of commercial vessel experience, and current STCW 2010 certification. The Buyer reserves the right to reject any Marine Engineer who does not meet these qualifications.
  3. Delivery and Performance Location: All services and equipment deliveries shall be made to the Karachi Port Authority dry dock facility. The Marine Engineer shall report to the Buyer's project coordination office in Pakistan Islamabad for initial briefing prior to deployment.
  4. Payment Schedule: Payment shall be made in three (3) installments: 30% upon execution of this Purchase Order, 50% upon successful commissioning and PMA inspection sign-off, and 20% upon completion of the first quarterly maintenance visit. All payments shall be processed via bank transfer to the Supplier's designated account in Pakistani Rupees.
  5. Warranty: All equipment supplied under this Purchase Order carries a minimum warranty of twenty-four (24) months from the date of commissioning. The Marine Engineer's workmanship is warranted for twelve (12) months.
  6. Compliance and Safety: The Marine Engineer shall adhere to all occupational health and safety regulations applicable in Pakistan, including the Pakistan Occupational Safety and Health Act (PESHAR) 2023. The Supplier shall provide comprehensive insurance coverage for the Marine Engineer during the entire contract period.
  7. Confidentiality: All technical drawings, operational data, and proprietary information exchanged under this Purchase Order shall be treated as strictly confidential. Neither party shall disclose such information to third parties without prior written consent. This clause remains in effect for three (3) years beyond contract completion.
  8. Dispute Resolution: Any dispute arising from this Purchase Order shall first be attempted to be resolved through amicable negotiation. Failing resolution within thirty (30) days, the matter shall be referred to arbitration under the rules of the Islamabad International Arbitration Centre, Pakistan Islamabad. The governing law shall be the laws of the Islamic Republic of Pakistan.
  9. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or port closures. Affected parties must notify the other within forty-eight (48) hours of the occurrence.
  10. Amendments: No modification to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both the Buyer in Pakistan Islamabad and the Supplier.
4. Authorization and Signatures

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the procurement of Marine Engineer services and associated equipment. This document constitutes a legally binding agreement between the parties as of the date of the last signature.
