- Qualification Requirement: The Marine Engineer engaged under this Purchase Order must hold a valid Class 1 Marine Engineer Certificate issued by the Pakistan Maritime Authority, Karachi, and possess a minimum of eight (8) years of documented experience in commercial vessel engineering within Pakistani waters.
- Place of Performance: All services shall be rendered exclusively within the operational boundaries of Pakistan Karachi, including Karachi Port, Port Qasim (as an extension zone), and the designated anchorage areas in the Karachi maritime jurisdiction. The Marine Engineer shall maintain a base of operations at the buyer's facility in Clifton, Karachi.
- Payment Terms: Payment shall be made in Pakistani Rupees (PKR) via bank transfer to the supplier's designated account in Karachi. The total Purchase Order value shall be disbursed in twelve (12) equal monthly installments, with each payment due within fifteen (15) days of receipt of the monthly service report and invoice. A 5% retention shall be held until the final month of the contract period.
- Compliance with Local Law: The supplier and the assigned Marine Engineer shall comply with all applicable laws of the Islamic Republic of Pakistan, including the Pakistan Maritime Act, the Sindh Labour Welfare Ordinance, and all regulations issued by the Pakistan Karachi Port Authority. All work permits and local registrations shall be the responsibility of the supplier.
- Insurance and Liability: The supplier shall maintain comprehensive professional indemnity insurance and marine liability insurance covering all operations conducted in Pakistan Karachi. The Marine Engineer shall be covered under the supplier's group medical and accident insurance policy as mandated by Pakistani labour law.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Marine Engineer shall complete all outstanding maintenance tasks and hand over all technical documentation to the buyer before vacating the vessel.
- Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through arbitration in Karachi, Pakistan, in accordance with the Arbitration Act, 1940 of Pakistan. The seat of arbitration shall be the Karachi Chamber of Commerce and Industry.
- Confidentiality: The Marine Engineer and the supplier shall treat all operational data, vessel specifications, and commercial information of the buyer as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to acts of God, war, civil unrest, government sanctions, or port closures declared by the Pakistan Karachi Port Authority.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan, with specific reference to the commercial and maritime statutes applicable in the province of Sindh, Pakistan Karachi.
