TERMS AND CONDITIONS OF THIS PURCHASE ORDER
  1. Scope of Work: The Seller shall provide qualified Marine Engineer personnel and all specified technical equipment to the Buyer's operations at the Port of Callao and associated facilities in Peru Lima. All Marine Engineer staff must hold valid STCW (Standards of Training, Certification and Watchkeeping) certifications and possess a minimum of five (5) years of documented experience in commercial marine propulsion and auxiliary systems.
  2. Delivery and Location: All physical goods and personnel shall be delivered to the designated locations within Peru Lima as specified in the item table above. The Seller is responsible for all international shipping, customs clearance at the Port of Callao, and final delivery to the Buyer's premises in Peru Lima under DDP (Delivered Duty Paid) terms as defined by Incoterms 2020.
  3. Payment Terms: Payment for this Purchase Order shall be made in three (3) equal instalments of USD $201,249.00 each. The first instalment is due within fifteen (15) business days of the Buyer's written acceptance of this Purchase Order. The second instalment is due upon confirmed arrival of all Marine Engineer personnel and equipment in Peru Lima. The final instalment is due upon successful completion of the 5-day technical training programme and sign-off by the Buyer's Chief Engineer.
  4. Compliance and Regulations: All Marine Engineer services and equipment supplied under this Purchase Order shall comply with the regulations of the Peruvian Maritime Authority (Autoridad Marítima del Perú), the International Maritime Organization (IMO), and all applicable Peruvian labour and immigration laws governing the employment of foreign technical personnel in Peru Lima.
  5. Warranty: All physical equipment and OEM parts listed in this Purchase Order carry a minimum twelve (12) month manufacturer's warranty from the date of delivery in Peru Lima. The Seller shall replace or repair any defective item at no additional cost to the Buyer within the warranty period.
  6. Force Majeure: Neither party shall be liable for delays or failures in performance under this Purchase Order caused by events beyond reasonable control, including but not limited to natural disasters affecting the Peru Lima coastline, port strikes, or government-mandated closures at the Port of Callao.
  7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Peru. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in Lima, Peru Lima, in accordance with the rules of the Lima Chamber of Commerce.
  8. Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical data, vessel specifications, and operational procedures shared in connection with the Marine Engineer services described in this Purchase Order.
NOTE: The Buyer confirms that all Marine Engineer personnel arriving in Peru Lima under this Purchase Order will be provided with appropriate work visas, temporary residence permits, and health insurance coverage for the duration of their assignment. The Seller is responsible for arranging international travel and initial accommodation in Peru Lima for the first seven (7) days of each engineer's assignment. AUTHORISATION AND ACCEPTANCE
