This Purchase Order is issued by Manila Pacific Maritime Holdings, Inc. to formally procure the services of a qualified Marine Engineer for deployment at the Port of Manila, Philippines Manila. The Marine Engineer shall be responsible for the operation, maintenance, repair, and overall technical management of marine auxiliary machinery, propulsion systems, and onboard mechanical equipment aboard the vessels under the operational management of Manila Pacific Maritime Holdings, Inc. The scope of this Purchase Order encompasses the recruitment, vetting, certification verification, deployment, and ongoing supervision of the Marine Engineer throughout the contract period. The selected Marine Engineer must hold a valid Certificate of Competency (COC) issued by the Philippine Maritime Industry Authority (MARINA) and must possess a minimum of five (5) years of documented experience in marine engineering operations within the Philippines Manila maritime corridor and surrounding waters.

- Scope of Work: The Marine Engineer personnel procured under this Purchase Order shall perform all duties in strict accordance with the Philippine Maritime Code, MARINA regulations, and the operational standards of the Manila Port Authority. All work shall be conducted at the designated Philippines Manila port facilities and aboard vessels registered under Manila Pacific Maritime Holdings, Inc.
- Certification Requirements: Each Marine Engineer must present a valid and unexpired Certificate of Competency issued by MARINA, a valid seaman's book, a current medical fitness certificate, and proof of liability insurance. Failure to maintain valid certifications shall result in immediate suspension of the affected Marine Engineer and proportional adjustment of this Purchase Order.
- Payment Schedule: Payment shall be made on a monthly basis within thirty (30) calendar days from the receipt of a valid invoice and the corresponding Marine Engineer attendance and performance report. All payments shall be made via bank transfer to the supplier's designated account in the Philippines Manila banking system.
- Compliance with Philippine Law: The supplier shall ensure that all Marine Engineer personnel are engaged in compliance with the Philippine Labor Code, the Maritime Industry Act (Republic Act No. 10627), and all applicable local ordinances of the City of Manila and Metro Manila area. The supplier bears full responsibility for the employment relationship with the Marine Engineer staff.
- Performance Standards: The Marine Engineer shall maintain engine room and auxiliary machinery availability at no less than 97% throughout the contract period. Downtime exceeding this threshold due to negligence or inadequate maintenance by the Marine Engineer shall be subject to penalty deductions as outlined in the attached Service Level Agreement.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of material breach, termination may be effected with seven (7) days notice. Upon termination, the supplier shall ensure an orderly transition of all Marine Engineer duties and documentation to the buyer or a successor provider within the Philippines Manila operational area.
- Confidentiality: All operational data, vessel specifications, port security protocols, and proprietary information of Manila Pacific Maritime Holdings, Inc. accessed by the Marine Engineer during the course of this Purchase Order shall be treated as strictly confidential and shall not be disclosed to any third party without written authorization.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes arising hereunder shall be resolved through arbitration in the Philippines Manila jurisdiction under the rules of the Philippine Dispute Resolution Center, Inc. (PDRCI).
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the procurement and deployment of Marine Engineer services at the Philippines Manila port operations site.
