This Purchase Order is issued by Red Sea Marine Services & Logistics Co. Ltd., operating from its principal office in Saudi Arabia Jeddah, for the procurement and engagement of a qualified Marine Engineer to provide specialized technical services, equipment supply, and ongoing maintenance support for the company's fleet of commercial vessels operating out of the Port of Jeddah. This Purchase Order constitutes a binding commercial agreement between the Purchaser and the Supplier for the scope of work and deliverables described herein.
The Supplier shall provide the following services and items under this Purchase Order for the Marine Engineer engagement in Saudi Arabia Jeddah:

All services, equipment deliveries, and technical work under this Purchase Order shall be performed at the designated facilities in Saudi Arabia Jeddah, specifically at the Red Sea Marine Services yard located at Jeddah Islamic Port, King Fahd Road, Jeddah 23412. The Marine Engineer shall report to the Purchaser's site office no later than 07:00 AM Saudi Arabian Standard Time (AST) on all working days. All equipment deliveries shall be made to the dry dock area of the Jeddah port within the timelines specified in the project schedule attached as Appendix A to this Purchase Order.
- Payment shall be made in Saudi Riyals (SAR) via bank transfer to the Supplier's designated account in Saudi Arabia.
- 30% advance payment upon signing and acceptance of this Purchase Order.
- 40% upon completion of equipment installation and commissioning at the Jeddah site.
- 30% upon successful completion of the 12-month Marine Engineer contract period and final acceptance.
- Invoices shall be submitted within 10 business days of milestone completion. Payment shall be processed within 30 days of invoice receipt.
- All payments are subject to the terms of the Saudi Arabian Commercial Transactions Law and applicable regulations of the Ministry of Commerce.
- This Purchase Order is governed by the laws of the Kingdom of Saudi Arabia. Any disputes arising from this Purchase Order shall be resolved through arbitration in Jeddah, Saudi Arabia, in accordance with the rules of the Saudi Center for Commercial Arbitration.
- The Marine Engineer engaged under this Purchase Order must hold a valid Class 1 Marine Engineer certificate recognized by the International Maritime Organization (IMO) and be registered with the Saudi Ports Authority (MAWANI) for operations in Saudi Arabia Jeddah.
- The Supplier warrants that all equipment supplied is new, of original manufacture, and free from defects. A minimum 24-month warranty applies to all hardware items listed in this Purchase Order.
- The Supplier shall comply with all Saudi Arabian labor laws, occupational health and safety regulations, and environmental standards applicable to marine engineering operations in Jeddah.
- Either party may terminate this Purchase Order with 60 days' written notice. In the event of termination, the Marine Engineer engagement shall wind down in an orderly manner to ensure vessel safety and operational continuity at the Jeddah port.
- Confidentiality: All technical data, vessel specifications, and operational information shared under this Purchase Order shall be treated as strictly confidential and shall not be disclosed to third parties without written consent.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, or port closures in Saudi Arabia Jeddah.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the Marine Engineer services and equipment supply in Saudi Arabia Jeddah.
