1. Scope and Qualification: The Supplier shall provide qualified and certified Marine Engineer professionals who hold valid Class 1 or Class 2 Marine Engineer Certificates of Competency issued or recognized by the Singapore Singapore Maritime and Port Authority (MPA). 2. 4. Health, Safety, and Environmental Compliance: The Supplier shall ensure that all Marine Engineer personnel comply with the Workplace Safety and Health Act of Singapore Singapore, the Maritime and Port Authority of Singapore Singapore regulations, and all applicable environmental statutes. The Supplier shall provide all necessary Personal Protective Equipment (PPE) and ensure that each Marine Engineer holds a valid Safety Management System (SMS) familiarization certificate prior to commencing work in Singapore Singapore.

5. Insurance and Indemnity: The Supplier shall maintain, at its own cost, comprehensive marine liability insurance, workers' compensation insurance, and professional indemnity insurance with a minimum coverage of SGD 5,000,000 per occurrence. The Supplier shall indemnify and hold harmless the Purchaser against any claims, losses, or damages arising from the negligence or misconduct of the Marine Engineer personnel deployed under this Purchase Order in Singapore Singapore.

6. Intellectual Property and Confidentiality: All technical data, vessel records, engineering drawings, and operational information accessed by the Marine Engineer personnel during the execution of this Purchase Order shall remain the exclusive property of the Purchaser. The Supplier and its Marine Engineer staff shall not disclose, reproduce, or distribute any confidential information pertaining to the Purchaser's fleet operations in Singapore Singapore without prior written consent.

7. Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice to the other party. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Termination shall not affect any accrued rights or obligations, including payment for Marine Engineer services already rendered in Singapore Singapore up to the date of termination.

8. Dispute Resolution: Any dispute, controversy, or claim arising out of or in connection with this Purchase Order, including the performance of Marine Engineer services in Singapore Singapore, shall first be attempted to be resolved through amicable negotiation. If unresolved within thirty (30) days, the dispute shall be referred to arbitration in Singapore Singapore in accordance with the rules of the Singapore International Arbitration Centre (SIAC). The language of arbitration shall be English.

9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to acts of God, war, civil unrest, government sanctions affecting Singapore Singapore, or pandemics, provided that the affected party notifies the other within five (5) business days.
