Scope of Work and Line Items

This Purchase Order is issued by Johannesburg Maritime & Industrial Services (Pty) Ltd, a registered entity operating in South Africa Johannesburg, to procure the professional services of a qualified Marine Engineer for the duration of the contract period specified herein. The Marine Engineer shall be deployed to the Johannesburg operations facility and shall provide comprehensive marine engineering consultancy, equipment maintenance oversight, and technical advisory services as detailed in the line items below.

Terms and Conditions
  1. This Purchase Order constitutes a binding agreement between Johannesburg Maritime & Industrial Services (Pty) Ltd and Oceanic Marine Engineering Solutions (Pty) Ltd upon signature by both authorised representatives. All terms are governed by the laws of the Republic of South Africa.
  2. The Marine Engineer engaged under this Purchase Order shall be fully indemnified, insured, and compliant with all applicable South African labour legislation, including the Basic Conditions of Employment Act (Act 75 of 1997) and the Occupational Health and Safety Act (Act 85 of 1993).
  3. All services shall be rendered at the designated operational site in South Africa Johannesburg, specifically at 142 Rivonia Road, Sandton, unless otherwise agreed in writing by the Procurement Manager.
  4. The Marine Engineer shall maintain all professional registrations, certifications, and maritime licences in good standing throughout the contract period. Failure to do so shall constitute material breach of this Purchase Order.
  5. Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice. Late payments shall attract interest at the rate of 10% per annum as prescribed by the Late Payment of Interest Act (Act 15 of 2003).
  6. The supplier shall provide a performance bond in the amount of 10% of the total Purchase Order value, to be held by the buyer for the duration of the contract plus thirty (30) days.
  7. Confidentiality: All technical data, operational procedures, and proprietary information pertaining to the Johannesburg facility shall be treated as strictly confidential by the Marine Engineer and the supplier. This obligation shall survive termination of this Purchase Order for a period of five (5) years.
  8. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of material breach, the aggrieved party may terminate immediately upon written notice. Termination shall not affect accrued rights or obligations.
  9. Dispute Resolution: Any dispute arising from this Purchase Order shall first be referred to mediation in Johannesburg, South Africa. Should mediation fail, the matter shall be referred to arbitration under the rules of the Arbitration Foundation of Southern Africa (AFSA).
  10. This Purchase Order is subject to the buyer's right to audit the supplier's compliance with all stated requirements, including but not limited to the qualifications and experience of the Marine Engineer deployed.
