This Purchase Order is issued by Barcelona Maritime Services S.L. to procure the professional services of a qualified Marine Engineer to be deployed and operational within the port and maritime infrastructure of Spain Barcelona. The Marine Engineer engaged under this Purchase Order must hold a valid Class 1 Marine Engineer's Certificate of Competency (MECO) issued or recognised under the Spanish Maritime Administration (Dirección General de la Marina Mercante) and the International Maritime Organization (IMO) STCW Convention. The professional shall possess a minimum of ten (10) years of documented experience in marine engineering operations, with at least five (5) years specifically within Mediterranean or Spanish port environments, including familiarity with the operational protocols of Spain Barcelona harbour facilities.

  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Spain, with exclusive jurisdiction vested in the Courts of Barcelona, Spain. All disputes arising from the engagement of the Marine Engineer under this order shall be resolved in the courts of Spain Barcelona.
  2. Payment Terms: Payment shall be made in monthly instalments within thirty (30) calendar days of receipt of a valid invoice from the Seller. The first payment shall be due upon confirmed commencement of the Marine Engineer's duties at the Port of Barcelona. All payments shall be made via bank transfer to the account designated by Atlántico Marine Engineering Consultants S.A.
  3. Commencement and Duration: The Marine Engineer shall commence duties no later than 01 September 2025 at the Buyer's designated facility within the Port of Barcelona, Spain Barcelona. The contractual period shall be twelve (12) months, renewable by mutual written agreement.
  4. Qualifications and Insurance: The Marine Engineer must maintain valid professional liability insurance with a minimum coverage of EUR 1,000,000 per occurrence, registered with the Spanish Insurance Directorate (Dirección General de Seguros y Fondos de Pensiones). Proof of insurance shall be submitted prior to commencement.
  5. Working Hours and Location: The Marine Engineer shall work a standard schedule of 40 hours per week, Monday to Friday, at the Buyer's premises in Barcelona, Spain. Additional on-call hours for emergency response (Line Item 04) shall be compensated at 1.5× the hourly rate as stipulated in the Spanish Workers' Statute (Estatuto de los Trabajadores).
  6. Confidentiality: The Marine Engineer shall treat all technical drawings, operational data, and commercial information of the Buyer as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
  7. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach, termination may be effected with fourteen (14) days' notice. Upon termination, the Marine Engineer shall complete all outstanding documentation and hand over all work-in-progress records to the Buyer.
  8. Health, Safety, and Environment (HSE): The Marine Engineer shall comply with all applicable Spanish maritime safety regulations, the Port of Barcelona HSE protocols, and the EU Maritime Safety Directive (2009/156/EC). A valid Spanish occupational health certificate shall be required before access to any vessel or port facility.
  9. Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to port strikes, adverse weather conditions affecting the Barcelona harbour, or government-mandated closures.
  10. Dispute Resolution: Any dispute arising from this Purchase Order that cannot be resolved amicably within thirty (30) days shall be submitted to binding arbitration under the rules of the Barcelona Arbitration Centre (Centro de Arbitraje de Barcelona), with the seat of arbitration in Spain Barcelona.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a Marine Engineer in Spain Barcelona. This document constitutes a binding commercial agreement upon execution by both authorised representatives.
