This Purchase Order is issued by Nile Maritime Services Company Ltd. (hereinafter referred to as the "Purchaser") to Global Marine Engineering Solutions International (hereinafter referred to as the "Supplier") for the procurement of professional Marine Engineer services to be deployed and executed within the Sudan Khartoum region. This Purchase Order constitutes a binding agreement between both parties upon acceptance and signature.
The Purchaser hereby requests the Supplier to provide a qualified and certified Marine Engineer for the duration of the contract period specified herein. The Marine Engineer shall be responsible for the following duties and responsibilities at the designated operational site in Sudan Khartoum:

The Marine Engineer assigned to fulfill the obligations under this Purchase Order must meet the following minimum qualifications:
- Hold a valid Class IV Marine Engineer's Certificate of Competency (MEO Class IV) or equivalent recognized by the Sudanese Ministry of Transport and Communications.
- Possess a minimum of eight (8) years of hands-on experience in marine diesel engine maintenance, repair, and operation in commercial shipping environments.
- Demonstrate proven experience working in riverine and inland waterway vessel operations, with specific familiarity with the navigational and operational conditions of the Nile River in the Sudan Khartoum area.
- Be proficient in both English and Arabic to facilitate effective communication with local port authorities, crew members, and regulatory bodies in Sudan Khartoum.
- Hold a valid medical fitness certificate and a clean criminal background check as required for entry and work authorization in the Republic of the Sudan.
- Carry professional liability insurance with a minimum coverage of USD 500,000 valid throughout the duration of the contract in Sudan Khartoum.
The Marine Engineer shall report to the designated work site at the Nile River Port Authority compound, Sudan Khartoum, no later than 07:00 local time on 1 August 2025. The initial deployment period shall be ninety (90) calendar days, with the option for the Purchaser to extend the engagement for an additional sixty (60) days upon written notice issued no fewer than fourteen (14) days prior to the expiration of the initial term. All travel, accommodation, and per diem expenses for the Marine Engineer while stationed in Sudan Khartoum shall be borne by the Supplier unless otherwise agreed in a supplementary amendment to this Purchase Order.
Payment for the services rendered under this Purchase Order shall be made in United States Dollars (USD) via international wire transfer to the Supplier's designated bank account. The payment schedule is as follows:
- 30% Advance Payment: USD 11,520.00 due within ten (10) business days of the Supplier's written acceptance of this Purchase Order.
- 40% Progress Payment: USD 15,360.00 due upon completion of the 45th day of the Marine Engineer's active deployment in Sudan Khartoum, subject to submission of a verified progress report.
- 30% Final Payment: USD 11,520.00 due within fifteen (15) business days of the successful completion of all deliverables and submission of the final Marine Engineer performance report and safety compliance documentation.
All payments are subject to a standard 5% retention being withheld until the final acceptance certificate is issued by the Purchaser's project manager in Sudan Khartoum. Late payments shall incur an interest charge of 1.5% per month calculated on the outstanding balance.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of the Sudan. Any disputes arising from this Purchase Order shall be resolved through arbitration in Sudan Khartoum in accordance with the Sudanese Arbitration Act.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure is caused by events beyond reasonable control, including but not limited to natural disasters, civil unrest, government sanctions, or epidemics affecting operations in Sudan Khartoum.
- Confidentiality: The Marine Engineer and the Supplier agree to maintain strict confidentiality regarding all technical data, vessel specifications, operational procedures, and commercial information encountered during the course of work in Sudan Khartoum. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach by the Supplier, the Purchaser may terminate immediately upon written notice. Upon termination, the Supplier shall be compensated only for services actually rendered and verified up to the date of termination.
- Insurance and Liability: The Supplier shall maintain comprehensive marine engineering liability insurance and workers' compensation coverage for the Marine Engineer throughout the entire contract period in Sudan Khartoum. The Supplier shall indemnify and hold harmless the Purchaser against any claims, losses, or damages arising from the negligence or willful misconduct of the Marine Engineer.
- Compliance: The Marine Engineer shall comply with all applicable Sudanese labor laws, maritime regulations, environmental protection statutes, and port authority directives in force in Sudan Khartoum at the time of performance.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the procurement of Marine Engineer services in Sudan Khartoum. This Purchase Order becomes effective upon the last signature.
