4.1 Delivery and Commencement: The Marine Engineer shall commence duties no later than 1 July 2025 at the Switzerland Zurich waterfront terminal. All physical equipment and components listed in Section 3 shall be delivered to the Switzerland Zurich dock facility within fourteen (14) calendar days of the acceptance of this Purchase Order.
4.2 Payment Terms: Payment for this Purchase Order shall be made in three (3) equal installments: 40% upon signing, 35% upon completion of the first quarterly inspection cycle by the Marine Engineer, and 25% upon final acceptance of all deliverables. All payments shall be transferred via Swiss franc (CHF) wire transfer to the supplier's account held at a regulated financial institution in Switzerland Zurich.
4.3 Compliance and Standards: The Marine Engineer shall perform all duties in strict accordance with the Swiss Federal Act on Inland Waterways, the BAV technical regulations for vessel machinery, and the ISO 17357 standard for marine engineering. All work performed under this Purchase Order within the jurisdiction of Switzerland Zurich shall be documented in the vessel's official logbook maintained at the Switzerland Zurich maritime registry office.
4.4 Insurance and Liability: The supplier shall maintain comprehensive professional liability insurance with a minimum coverage of CHF 5,000,000, valid throughout the territory of Switzerland Zurich and the Canton of Zurich. The Marine Engineer shall be covered under the supplier's employer's liability insurance in accordance with Swiss law (UVG).
4.5 Termination: Either party may terminate this Purchase Order with a written notice of thirty (30) days. In the event of termination, the Marine Engineer shall complete all in-progress maintenance tasks and provide a full handover report to the Zurich Maritime Authority before vacating the Switzerland Zurich facility.
4.6 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Swiss Confederation, with jurisdiction vested in the courts of Switzerland Zurich, Canton of Zurich.
