1. SCOPE OF PURCHASE ORDER

This Purchase Order is issued by Chao Phraya Maritime Services Co., Ltd. (hereinafter referred to as the "Purchaser") to Siam Marine Engineering & Technical Solutions Ltd. (hereinafter referred to as the "Supplier") for the procurement, deployment, and ongoing provision of a qualified Marine Engineer to support the operational maintenance, repair, and technical oversight of the Purchaser's commercial vessel fleet operating within the waters of Thailand Bangkok and the Chao Phraya River basin. This Purchase Order governs all terms, conditions, deliverables, and financial obligations associated with the engagement of the Marine Engineer as specified herein. The services shall be rendered exclusively within the jurisdiction of Thailand Bangkok unless otherwise agreed upon in writing by both parties.

3. TERMS AND CONDITIONS
  1. Qualification Requirements: The Marine Engineer engaged under this Purchase Order must hold a minimum of a Second Class Marine Engineer Certificate of Competency issued or recognized by the Thai Ministry of Transport, Department of Marine. The Marine Engineer must also possess a valid medical fitness certificate and a clean criminal background check as required for operations in Thailand Bangkok.
  2. Duration of Engagement: This Purchase Order covers a period of twelve (12) months commencing on 1 July 2025 and expiring on 30 June 2026. Renewal shall be subject to mutual written agreement between the Purchaser and the Supplier no later than thirty (30) days prior to the expiration date.
  3. Place of Performance: All services rendered by the Marine Engineer under this Purchase Order shall be performed at the Purchaser's designated vessel and at the maintenance facility located at the Port of Thailand Bangkok, Pier 7, Bang Kho Laem District. Any relocation of the work site within Thailand Bangkok must be communicated in writing at least seven (7) days in advance.
  4. Payment Schedule: Payment shall be made in monthly installments of THB 84,307.08 (inclusive of VAT) via bank transfer to the Supplier's designated account. The first payment is due within thirty (30) days of the commencement date. Late payments shall incur an interest charge of 1.5% per month as stipulated under Thai commercial law.
  5. Performance Standards: The Marine Engineer shall adhere to all applicable Thai maritime safety regulations, environmental protection standards enforced by the Pollution Control Department in Thailand Bangkok, and the operational procedures established by the Purchaser. Failure to meet performance standards for two consecutive months shall constitute grounds for termination of this Purchase Order with thirty (30) days' written notice.
  6. Insurance and Liability: The Supplier shall maintain comprehensive professional liability insurance and workers' compensation coverage for the Marine Engineer throughout the term of this Purchase Order. The minimum coverage amount shall be THB 5,000,000 per occurrence. All insurance policies must be valid and enforceable within Thailand Bangkok.
  7. Confidentiality: The Marine Engineer shall treat all technical drawings, operational data, vessel specifications, and commercial information of the Purchaser as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
  8. Governing Law and Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Thailand. Any disputes arising from or in connection with this Purchase Order shall be resolved through arbitration in Thailand Bangkok in accordance with the rules of the Thai Arbitration Institute.
  9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed port closures in Thailand Bangkok, or pandemics, provided that the affected party notifies the other within forty-eight (48) hours.
4. ACCEPTANCE AND AUTHORIZATION

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the procurement of Marine Engineer services in Thailand Bangkok. This document constitutes a binding agreement upon execution by both authorized representatives.
