2. SCOPE OF PURCHASE ORDER

This Purchase Order is issued by Ankara Maritime Industrial Group A.S. to procure the professional services and associated equipment of a certified Marine Engineer for deployment at the buyer's operational facility located in Turkey Ankara. The Marine Engineer shall be responsible for the design oversight, installation supervision, commissioning, and ongoing maintenance of marine propulsion systems, auxiliary machinery, and associated hydraulic and electrical infrastructure at the buyer's inland waterway testing and simulation center in the Turkey Ankara metropolitan area. This Purchase Order covers a twelve-month engagement period commencing on 01 August 2025 and concluding on 31 July 2026, subject to the terms and conditions outlined herein.

5. TERMS AND CONDITIONS
  1. Acceptance: This Purchase Order shall become binding upon written acceptance by the Seller within five (5) business days of the issue date. Failure to respond within this period shall be construed as rejection of this Purchase Order.
  2. Qualifications: The Marine Engineer assigned under this Purchase Order must hold a valid Class 1 Marine Engineering Certificate issued or recognized by the Turkish Maritime Authority (Denizcilik Genel Müdürlüğü) and possess a minimum of eight (8) years of documented experience in marine propulsion and auxiliary systems. The Seller shall provide copies of all relevant certifications prior to the commencement date.
  3. Payment Terms: Payment shall be made in monthly installments of 191,450.00 TRY (plus applicable VAT) within thirty (30) days of receipt of a valid invoice. The first payment shall be due upon successful onboarding and site induction of the Marine Engineer at the Turkey Ankara facility.
  4. Performance Bond: The Seller shall provide a performance bond equivalent to 10% of the total Purchase Order value (229,740.00 TRY) within ten (10) business days of contract execution, to be held by the Buyer as security for satisfactory performance.
  5. Substitution: The Buyer reserves the right to request substitution of the assigned Marine Engineer with reasonable notice (minimum 30 days) if performance does not meet the agreed technical standards. Any replacement Marine Engineer must meet or exceed the qualifications specified in Clause 2.
  6. Intellectual Property: All technical documentation, design modifications, and commissioning reports produced by the Marine Engineer during the term of this Purchase Order shall be the exclusive property of the Buyer. The Seller shall not reproduce, distribute, or utilize such materials for any third party without prior written consent.
  7. Health, Safety, and Environment: The Marine Engineer shall comply with all applicable Turkish occupational health and safety regulations (İş Sağlığı ve Güvenliği Kanunu) and the specific site safety protocols of the Turkey Ankara facility. The Seller is responsible for ensuring the Marine Engineer carries valid personal protective equipment (PPE) and adheres to all environmental compliance standards.
  8. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach, the non-breaching party may terminate with fourteen (14) days' notice. Upon termination, the Buyer shall pay for all services rendered up to the termination date.
  9. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Turkey. Any disputes arising hereunder shall be resolved by the competent courts in Turkey Ankara, Çankaya District.
  10. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or pandemics, provided that the affected party notifies the other within forty-eight (48) hours.
