This Purchase Order is issued by Nile Basin Maritime Operations Ltd., a registered entity operating in Uganda Kampala, to procure the professional services of a qualified Marine Engineer for the maintenance, inspection, and operational oversight of the company's fleet of inland waterway vessels operating on the Nile River and Lake Victoria. The Marine Engineer shall be engaged on a full-time contractual basis for a period of twelve (12) months, commencing on 1 August 2025, with the primary duty station located at the company's operational base in Uganda Kampala.

The Marine Engineer is expected to hold a valid Class IV Marine Engineering Officer Certificate of Competency (CoC) issued by the Uganda Maritime Authority (UMA) and must possess a minimum of five (5) years of hands-on experience in marine diesel engine systems, auxiliary machinery, electrical power generation, and hull integrity assessment. The Marine Engineer shall report directly to the Chief Operations Officer of Nile Basin Maritime Operations Ltd. and shall be stationed at the Uganda Kampala dockyard facility on a five-day work week, with on-call availability for emergency vessel breakdowns during the remaining two days.

All prices are quoted in Ugandan Shillings (UGX) and are inclusive of all applicable local taxes unless otherwise stated. The total amount of this Purchase Order is one hundred and thirty-three million, nine hundred and eighty-nine thousand Ugandan Shillings.

  1. Commencement and Duration: The services of the Marine Engineer shall commence on 1 August 2025 at the Uganda Kampala dockyard facility and shall continue for a period of twelve (12) months unless terminated earlier in accordance with Clause 7 of this Purchase Order.
  2. Payment Terms: Payment shall be made on a monthly basis within fourteen (14) calendar days of receipt of a valid invoice from the supplier. The first payment shall be due on 15 August 2025. All payments shall be made via bank transfer to the supplier's designated account in Uganda Kampala.
  3. Performance Standards: The Marine Engineer shall adhere to all operational standards set by the Uganda Maritime Authority and the International Maritime Organization (IMO) as applicable to inland waterway vessels. Failure to meet performance benchmarks for two consecutive months shall constitute grounds for termination.
  4. Confidentiality: The Marine Engineer shall treat all technical drawings, engine specifications, fleet schedules, and commercial data of Nile Basin Maritime Operations Ltd. as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
  5. Insurance and Liability: The supplier shall maintain comprehensive professional indemnity insurance and workers' compensation coverage for the Marine Engineer throughout the duration of this Purchase Order. The supplier shall indemnify the buyer against any claims arising from the Marine Engineer's negligence or wilful misconduct.
  6. Compliance with Local Law: All services rendered under this Purchase Order shall comply with the laws of the Republic of Uganda, including but not limited to the Uganda Maritime Authority Act, the Employment Act, and all applicable regulations governing marine engineering practice in Uganda Kampala.
  7. Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice. In the event of material breach, the aggrieved party may terminate immediately upon written notice. Upon termination, the buyer shall pay for all services rendered up to the date of termination.
  8. Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the dispute shall be referred to arbitration in Uganda Kampala in accordance with the Arbitration Act of Uganda.

The Marine Engineer shall report for duty at the Nile Basin Maritime Operations Ltd. dockyard, located along the Nile River in Uganda Kampala, on 1 August 2025 at 0800 hours. The supplier is responsible for ensuring that the Marine Engineer has all necessary travel arrangements, valid work permits, and UMA registration in place prior to the commencement date. The Marine Engineer shall be provided with a company-issued mobile phone, laptop, and access to the vessel fleet as required for the performance of duties.

This Purchase Order constitutes a binding procurement commitment upon signature by both parties. By signing below, the buyer authorizes the supplier to engage the Marine Engineer as described herein, and the supplier confirms its acceptance of all terms, conditions, and obligations set forth in this Purchase Order for the provision of Marine Engineer services in Uganda Kampala.
