- This Purchase Order constitutes a binding agreement between Meridian Maritime Solutions Ltd. (hereinafter "the Buyer") and NorthSea Marine Engineering & Consultancy Ltd. (hereinafter "the Supplier") for the provision of Marine Engineer services and associated equipment as described in Section 3 above.
- All services shall be performed in strict accordance with the regulations set forth by the Maritime and Coastguard Agency (MCA), the International Maritime Organization (IMO) SOLAS conventions, and the applicable standards of the Institution of Engineering and Technology (IET) as they pertain to the United Kingdom Birmingham maritime and inland waterways sector.
- The Marine Engineer assigned to this Purchase Order must hold a valid Class 1 Marine Engineer's Certificate of Competency issued by the UK MCA, maintain current professional indemnity insurance of no less than £5,000,000, and be registered with the IET as a Chartered Engineer (CEng).
- Payment shall be made by BACS transfer to the Supplier's designated bank account within thirty (30) calendar days of receipt of a valid tax invoice. Late payments shall accrue interest at a rate of 4% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
- All work shall be carried out at the Birmingham Inland Waterways Terminal, Corporation Street, Birmingham, B4 7BJ, United Kingdom Birmingham, or such other location within the United Kingdom Birmingham metropolitan area as mutually agreed in writing by both parties.
- The Supplier warrants that all equipment supplied under this Purchase Order shall be new, of first-class quality, and free from defects in materials and workmanship for a period of twelve (12) months from the date of installation.
- Either party may terminate this Purchase Order by providing thirty (30) days' written notice. In the event of termination, the Buyer shall be liable for all services rendered and materials procured up to the date of termination.
- All intellectual property, including technical reports, engineering drawings, and diagnostic data produced by the Marine Engineer under this Purchase Order, shall vest in the Buyer upon full payment of the total amount due.
- This Purchase Order shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the courts of United Kingdom Birmingham.
- The Supplier shall comply with all applicable health and safety legislation, including the Health and Safety at Work etc. Act 1974, and shall provide a Risk Assessment and Method Statement (RAMS) prior to commencing any on-site work in United Kingdom Birmingham.
All services and equipment referenced in this Purchase Order shall be delivered and made available at the designated site in United Kingdom Birmingham no later than 01 August 2025. The Buyer shall have a period of ten (10) working days following completion to inspect and accept the work performed by the Marine Engineer. Failure to raise a written objection within this period shall constitute deemed acceptance.
