The Marine Engineer shall commence duties no later than 01 August 2025 at the buyer's premises located at Royal Victoria Dock, London, United Kingdom. All equipment and materials referenced in this Purchase Order shall be delivered to the same address no later than 28 July 2025. The supplier warrants that the Marine Engineer assigned to this Purchase Order holds a valid MCA Certificate of Competency (Class 1) and is fully insured for the duration of the engagement in the United Kingdom.
- This Purchase Order is governed by the laws of England and Wales. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of London, United Kingdom.
- The supplier shall ensure that the Marine Engineer complies with all applicable United Kingdom maritime legislation, including the Merchant Shipping Act 1995, the Marine Safety (Domestic Commercial Vessels) Regulations 2003, and all MCA statutory requirements.
- Payment shall be made within thirty (30) calendar days of receipt of a valid VAT invoice from the supplier. Late payments shall attract interest at the rate of 4% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
- The supplier shall maintain comprehensive public liability insurance of no less than GBP 10,000,000 and professional indemnity insurance of no less than GBP 5,000,000 for the duration of this Purchase Order.
- Either party may terminate this Purchase Order by providing thirty (30) days' written notice. In the event of termination, the buyer shall be liable for all services rendered and materials delivered up to the date of termination.
- The Marine Engineer shall be subject to the buyer's site safety rules, environmental policies, and security protocols at all times while on the premises in United Kingdom London.
- All intellectual property, technical reports, and maintenance records generated under this Purchase Order shall remain the sole property of the buyer.
- The supplier shall not subcontract any portion of the Marine Engineer engagement without the prior written consent of the buyer.
- This Purchase Order constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, and agreements.
