TERMS AND CONDITIONS
  1. Scope of Work: This Purchase Order authorizes the Vendor to furnish the services of a qualified Marine Engineer, or a team of Marine Engineers, as described in the line items above. All engineering work shall be performed in or around the United States Chicago metropolitan area, specifically at the Port of Chicago and the Chicago Marine Terminal facilities, unless otherwise directed in writing by the Buyer.
  2. Qualifications: The Marine Engineer(s) assigned to this Purchase Order must hold a valid U.S. Coast Guard-issued Marine Engineer’s License (Third Class or above), possess a minimum of eight (8) years of documented experience in commercial marine engineering, and be in good standing with the American Bureau of Shipping or an equivalent recognized classification society.
  3. Compliance: All deliverables and services rendered under this Purchase Order shall comply with applicable federal, state, and local regulations, including but not limited to U.S. Coast Guard regulations (46 CFR), U.S. Environmental Protection Agency (EPA) standards, Illinois Department of Natural Resources guidelines, and the municipal code of the City of Chicago, United States.
  4. Payment: The Buyer shall remit payment within thirty (30) calendar days of receipt of a valid invoice from the Vendor. Payment shall be made via wire transfer to the Vendor’s designated bank account in Chicago, Illinois. Late payments shall accrue interest at a rate of 1.5% per month.
  5. Insurance: The Vendor shall maintain, at its own expense, comprehensive general liability insurance of no less than $2,000,000 per occurrence, professional liability (errors and omissions) insurance of no less than $1,000,000, and workers’ compensation insurance as required by the State of Illinois. Certificates of insurance shall be provided to the Buyer prior to commencement of work.
  6. Intellectual Property: All engineering drawings, reports, maintenance schedules, and technical documentation produced specifically for the Buyer under this Purchase Order shall become the sole property of the Buyer upon full payment. The Vendor retains the right to use general methodologies and pre-existing knowledge not specific to the Buyer’s vessel.
  7. Termination: Either party may terminate this Purchase Order with fourteen (14) days’ written notice. In the event of termination, the Buyer shall pay for all services satisfactorily rendered up to the date of termination. The Vendor shall deliver all work-in-progress documentation to the Buyer within five (5) business days of the termination effective date.
  8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict-of-law principles. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the state and federal courts located in Cook County, Chicago, Illinois.
  9. Force Majeure: Neither party shall be liable for delays or failures in performance caused by acts of God, severe weather conditions on Lake Michigan, government-mandated port closures, or other events beyond the reasonable control of the affected party, provided that written notice is given within forty-eight (48) hours of the occurrence.
  10. Entire Agreement: This Purchase Order, together with any attached exhibits, specifications, and the Vendor’s accepted proposal dated May 28, 2025, constitutes the entire agreement between the parties with respect to the Marine Engineer services described herein and supersedes all prior negotiations, representations, and agreements.
