This Purchase Order is issued by Gulf Coast Maritime Solutions, LLC (hereinafter referred to as "Buyer") to Deepwater Marine Engineering & Staffing Group, Inc. (hereinafter referred to as "Vendor") for the recruitment, placement, and ongoing professional management of a qualified Marine Engineer to be assigned to the Buyer's offshore platform operations located in and around the United States Houston metropolitan area and the adjacent Gulf of Mexico waters. The Marine Engineer shall be responsible for the maintenance, operation, and oversight of all marine propulsion systems, auxiliary power units, ballast control mechanisms, and associated mechanical and electrical infrastructure aboard the Buyer's vessel fleet operating out of the Port of Houston and the Ship Channel.
The Vendor shall ensure that the Marine Engineer placed under this Purchase Order holds a valid U.S. Coast Guard (USCG) Third Class Engineer's License or higher, possesses a minimum of eight (8) years of documented experience in marine engineering on offshore platforms or commercial vessels, and maintains current certifications in confined space entry, H2S awareness, and offshore survival (BOSIET/HUET). The Marine Engineer shall report directly to the Buyer's Chief Operations Officer based in United States Houston and shall be available for a standard 12-hour shift rotation with mandatory standby periods as dictated by operational requirements.

- Scope of Work: The Vendor shall provide a fully qualified Marine Engineer who shall perform all duties consistent with a USCG-licensed marine engineering role, including but not limited to engine room management, preventive maintenance scheduling, fuel system monitoring, and regulatory compliance reporting for all vessels and platforms under the Buyer's management in the United States Houston region.
- Compliance: The Marine Engineer shall comply with all applicable federal, state, and local regulations, including but not limited to U.S. Coast Guard regulations (46 CFR), OSHA standards, Texas Railroad Commission rules, and the specific operational protocols of the Port of Houston Authority.
- Insurance and Indemnification: The Vendor shall maintain, at its own expense, general liability insurance of no less than $2,000,000 per occurrence, professional liability insurance of $1,000,000, and workers' compensation coverage as required by the State of Texas. The Vendor shall indemnify and hold harmless the Buyer against any claims arising from the negligence or willful misconduct of the Marine Engineer.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the Vendor shall facilitate a transition period of no fewer than fourteen (14) days to ensure continuity of Marine Engineer coverage.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Texas. Any disputes arising hereunder shall be resolved through binding arbitration in United States Houston, Texas, in accordance with the rules of the American Arbitration Association.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary operational data, vessel specifications, and personnel information exchanged in connection with this Purchase Order and the Marine Engineer assignment.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to hurricanes, tropical storms, or other severe weather events common to the United States Houston coastal region.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the Marine Engineer services to be rendered in and around United States Houston. This document constitutes a binding agreement effective as of the date of the last signature below.
