All Marine Engineer services under this Purchase Order shall be performed at the Port of Los Angeles, Terminal 200–300, Berth assignments as directed by the Purchasing Party. The primary work location is within the United States Los Angeles harbor district. The Marine Engineer shall report to the on-site coordination office at 1200 Harbor Boulevard, United States Los Angeles, CA 90015, no later than 0600 hours local time on each scheduled service date. All deliverables, including inspection reports, maintenance logs, and compliance certificates, shall be submitted electronically to the Purchasing Party within 48 hours of service completion.

  1. Acceptance: This Purchase Order shall become effective upon written acceptance by the Supplier. The Supplier must confirm acceptance in writing within five (5) business days of the issue date. Failure to confirm shall render this Purchase Order null and void.
  2. Qualifications: The Marine Engineer assigned to all services under this Purchase Order must hold a valid U.S. Coast Guard (USCG) First Class Engineer License, a minimum of ten (10) years of commercial marine engineering experience, and current certification in diesel propulsion systems, steam turbine operations, and HVAC marine applications. The Marine Engineer must also possess a valid California professional engineering license where applicable.
  3. Payment Terms: Payment for this Purchase Order shall be made Net 30 days from the date of invoice. Invoices must reference this Purchase Order number (PO-2025-LA-ME-04782). Payment shall be made via ACH transfer to the account designated by the Supplier. Late payments shall accrue interest at 1.5% per month.
  4. Performance Schedule: The Marine Engineer shall commence services no later than June 20, 2025. The monthly preventive maintenance contract (Item 004) shall run from July 1, 2025, through June 30, 2026. All other engagements shall be completed within the timelines specified in the attached Service Schedule (Appendix A).
  5. Insurance & Liability: The Supplier shall maintain comprehensive general liability insurance of no less than $2,000,000 per occurrence and professional liability (errors and omissions) insurance of $1,000,000. The Marine Engineer shall be covered under the Supplier's workers' compensation policy. All insurance must name Pacific Maritime Solutions, Inc. as an additional insured.
  6. Compliance: All Marine Engineer work shall comply with U.S. Coast Guard regulations (46 CFR), MARAD guidelines, California State Water Resources Control Board environmental standards, and all applicable federal and local regulations governing maritime operations in United States Los Angeles.
  7. Warranty: All repairs and services performed by the Marine Engineer under this Purchase Order carry a minimum twelve (12) month warranty from the date of completion. Any defects arising within the warranty period shall be remedied at no additional cost to the Purchasing Party.
  8. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Purchasing Party shall pay for all services rendered up to the termination date. The Marine Engineer engagement may be terminated immediately for cause, including but not limited to gross negligence, safety violations, or failure to meet USCG compliance standards.
  9. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of California. Any disputes arising hereunder shall be resolved through binding arbitration in United States Los Angeles, County of Los Angeles, in accordance with the rules of the American Arbitration Association.
  10. Confidentiality: Both parties agree to maintain strict confidentiality regarding vessel specifications, operational data, and proprietary information disclosed during the performance of Marine Engineer services under this Purchase Order.
