All services under this Purchase Order shall be performed at the buyer's designated operational facilities located at the Port of Miami, 1000 SE 1st Avenue, Miami, Florida 33132, United States Miami, and at such other vessels or dockside locations within the Miami-Dade County jurisdiction as may be reasonably directed by the buyer's operations manager. The Marine Engineer shall report to the buyer's Miami, United States headquarters no later than 0700 hours local time on each scheduled working day.

  1. Contract Duration: This Purchase Order is valid for a period of twelve (12) months commencing July 1, 2025, and expiring June 30, 2026, unless renewed in writing by both parties no later than thirty (30) days prior to expiration.
  2. Payment Schedule: Invoices shall be submitted monthly by the 5th business day. Payment is due within thirty (30) days of invoice receipt. All payments shall be made in United States Dollars (USD) via wire transfer to the seller's designated bank account in Miami, Florida.
  3. Qualifications: The Marine Engineer assigned to this Purchase Order must maintain a current USCG Third Class Engineer License, a valid OSHA 10-Hour Maritime Safety certification, and proof of professional liability insurance with a minimum coverage of $2,000,000 per occurrence.
  4. Compliance: All work performed under this Purchase Order shall comply with applicable United States federal maritime regulations, Florida state labor laws, and local ordinances of the City of Miami, United States Miami. The Marine Engineer shall adhere to all environmental protection standards set forth by the EPA and the U.S. Coast Guard.
  5. Confidentiality: The Marine Engineer and the seller shall treat all operational data, vessel specifications, and commercial information of the buyer as strictly confidential. This obligation survives the termination of this Purchase Order for a period of five (5) years.
  6. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Termination shall not affect accrued payment obligations.
  7. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through binding arbitration in Miami, Florida, United States Miami, in accordance with the rules of the American Arbitration Association. The governing law shall be that of the State of Florida, United States.
  8. Insurance: The seller shall maintain workers' compensation insurance, general liability insurance, and marine-specific professional indemnity insurance throughout the term of this Purchase Order. Certificates of insurance shall be provided to the buyer prior to commencement of services.
  9. Force Majeure: Neither party shall be liable for delays or failures in performance caused by acts of God, hurricanes, tropical storms affecting the United States Miami region, government actions, or other events beyond reasonable control, provided that the affected party gives prompt written notice.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for Marine Engineer services to be rendered in United States Miami. This document constitutes a binding agreement between the parties upon execution.
