This Purchase Order is issued by Harborline Maritime Services, LLC, a registered entity operating within the United States New York City metropolitan area, to procure the professional services of a certified Marine Engineer along with associated technical equipment and documentation. This Purchase Order governs all terms, conditions, deliverables, and payment obligations related to the engagement of the Marine Engineer for the duration of the project described herein. The Marine Engineer and supporting team shall commence all services no later than July 1, 2025, at the designated work locations within the United States New York City port district, including but not limited to the Manhattan waterfront, the Brooklyn Navy Yard, and the Staten Island ferry terminal facilities. All deliverables under this Purchase Order shall be completed no later than September 30, 2025. The Marine Engineer shall submit a preliminary progress report to the Buyer every thirty (30) days from the commencement date.
Payment for this Purchase Order shall be made in accordance with the following schedule: thirty percent (30%) upon execution of this Purchase Order; forty percent (40%) upon completion of the primary Marine Engineer inspection phase; and the remaining thirty percent (30%) upon final delivery and acceptance of all reports and documentation. All payments shall be remitted via wire transfer to the account designated by Atlantic Marine Engineering Group, Inc. Payment is due within thirty (30) days of invoice receipt. Late payments shall accrue interest at a rate of 1.5% per month as permitted under New York State commercial law.
- This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon signature by both authorized representatives. All services rendered by the Marine Engineer shall be performed in strict accordance with the specifications outlined in this document and applicable federal, state, and local regulations governing maritime operations in the United States New York City area.
- The Marine Engineer shall maintain all necessary professional licenses, certifications, and insurance coverage, including professional liability insurance of no less than $2,000,000 per occurrence, for the entire duration of the engagement. Proof of insurance shall be provided prior to commencement of work.
- All work performed under this Purchase Order shall comply with the Occupational Safety and Health Administration (OSHA) standards, the United States Coast Guard regulations, and the New York City Department of Environmental Protection guidelines applicable to maritime engineering activities.
- The Seller warrants that the Marine Engineer assigned to this project shall not be concurrently engaged in a conflicting capacity with any competing entity operating within the United States New York City maritime sector for the duration of this contract.
- Any modifications, amendments, or change orders to this Purchase Order must be made in writing and signed by both parties. Verbal agreements shall not be enforceable.
- In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through good-faith mediation in the United States New York City jurisdiction. Should mediation fail, the dispute shall be submitted to binding arbitration under the rules of the American Arbitration Association in New York, New York.
- The Seller shall indemnify and hold harmless the Buyer against any claims, damages, or liabilities arising from the negligence or willful misconduct of the Marine Engineer or the Seller's personnel during the performance of services under this Purchase Order.
- All intellectual property, inspection data, and technical reports generated by the Marine Engineer in the course of this engagement shall become the sole property of the Buyer upon full payment of this Purchase Order.
