This Purchase Order is issued by Golden Gate Maritime Holdings, Inc. (hereinafter referred to as the "Buyer") to Pacific Coast Marine Engineering Group, LLC (hereinafter referred to as the "Supplier") for the engagement of qualified Marine Engineer professionals to provide comprehensive marine engineering services in support of the Buyer’s fleet operations and port infrastructure projects located in and around the Port of San Francisco, United States. The services covered under this Purchase Order include, but are not limited to, the following:

  • Design, installation, and maintenance of marine propulsion systems, auxiliary engines, and power generation units for commercial vessels berthed at the San Francisco waterfront.
  • Conducting periodic inspections, condition assessments, and compliance audits of marine mechanical and electrical systems in accordance with the United States Coast Guard (USCG) regulations and the American Bureau of Shipping (ABS) standards.
  • Providing on-site Marine Engineer technical support for the Buyer’s dry-dock and shipyard facilities situated along the San Francisco Bay, including troubleshooting, repair planning, and parts procurement coordination.
  • Developing and implementing preventive maintenance schedules for all marine engineering equipment to minimize downtime and ensure operational readiness throughout the contract period.
  • Preparing detailed engineering reports, maintenance logs, and regulatory compliance documentation as required by the United States federal maritime authorities and the California State Water Resources Control Board.

  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of California, United States, and the applicable federal maritime statutes of the United States. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association.
  2. Qualifications: All Marine Engineer personnel assigned under this Purchase Order must hold valid United States Coast Guard-issued Marine Engineer licenses (Third Class or above) and possess a minimum of five (5) years of documented experience in commercial marine engineering operations. The Supplier shall provide copies of all relevant certifications prior to the commencement date.
  3. Performance Location: All services shall be performed at the Buyer’s designated facilities within the San Francisco, California, United States metropolitan area, including but not limited to the Port of San Francisco, the Hunters Point Shipyard, and the Buyer’s private dry-dock at 1455 Harbor Boulevard.
  4. Payment: The Buyer shall remit payment within thirty (30) calendar days of receipt of a valid invoice from the Supplier. Invoices shall be submitted monthly and must reference this Purchase Order number (SF-2025-ME-04872). Late payments shall accrue interest at a rate of 1.5% per month.
  5. Insurance and Liability: The Supplier shall maintain comprehensive general liability insurance of no less than $2,000,000 per occurrence and professional liability (errors and omissions) insurance of no less than $1,000,000, with the Buyer named as an additional insured. All Marine Engineer personnel must be covered under the Supplier’s workers’ compensation policy as required by California state law.
  6. Confidentiality: The Supplier and all assigned Marine Engineer personnel shall treat all technical drawings, operational data, vessel specifications, and proprietary information of the Buyer as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
  7. Termination: Either party may terminate this Purchase Order with thirty (30) days’ written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the Buyer shall pay for all services rendered up to the effective date of termination.
  8. Compliance: The Supplier warrants that all Marine Engineer services shall comply with all applicable United States federal regulations (including 46 CFR and 33 CFR), California state environmental and occupational safety regulations, and all local San Francisco municipal codes and ordinances.
  9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to acts of God, natural disasters (including seismic events common to the San Francisco Bay Area), government actions, or other events beyond reasonable control.
