- This Purchase Order constitutes a binding agreement between Caribe Maritime Solutions C.A. (hereinafter "Buyer") and Global Marine Engineering & Technical Services Ltd. (hereinafter "Vendor") for the provision of Marine Engineer personnel, technical equipment, and associated services as described herein.
- All Marine Engineer personnel assigned under this Purchase Order must obtain valid work permits and residency authorization from the Venezuelan Ministry of Labor prior to commencing duties in Venezuela Caracas. The Vendor shall bear all costs associated with visa processing and immigration compliance.
- Delivery of all physical equipment and materials shall be made to the Buyer's designated facility at Puerto de La Guaira, Caracas, Venezuela. Title and risk of loss transfer to the Buyer upon confirmed receipt and inspection at the Venezuela Caracas port terminal.
- Payment shall be processed in United States Dollars (USD) via wire transfer to the Vendor's designated bank account within sixty (60) calendar days of the invoice date. Late payments shall accrue interest at a rate of 1.5% per month, in accordance with Venezuelan commercial law (Código de Comercio).
- The Vendor guarantees that all Marine Engineer candidates meet or exceed the qualifications specified in this Purchase Order. Any personnel found to be non-compliant shall be replaced within fifteen (15) business days at no additional cost to the Buyer.
- This Purchase Order is governed by the laws of the Bolivarian Republic of Venezuela. Any disputes arising from this agreement shall be resolved through arbitration in Venezuela Caracas in accordance with the rules of the Venezuelan Chamber of Commerce.
- The Vendor shall maintain comprehensive professional liability insurance and workers' compensation coverage for all Marine Engineer personnel operating in Venezuela Caracas throughout the contract term. Certificates of insurance shall be provided upon request.
- Confidentiality: All technical data, operational procedures, and proprietary information exchanged under this Purchase Order shall be treated as strictly confidential by both parties for a period of five (5) years following contract termination.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government sanctions, port closures in Venezuela Caracas, or international trade restrictions.
- This Purchase Order may be amended only by written mutual consent of both parties, executed as a formal addendum referencing the original Purchase Order number PO-VC-2025-00847.
By signing below, both parties acknowledge and accept all terms, conditions, and obligations set forth in this Purchase Order for the engagement of Marine Engineer services and the supply of related technical equipment for operations based in Venezuela Caracas.
