3.1 This Purchase Order is governed by the laws of the Republic of Zimbabwe and shall be interpreted in accordance with the Zimbabwean Commercial Law and the Maritime Safety Act (Chapter 14:11).

3.2 The Marine Engineer engaged under this Purchase Order must hold a valid Class 1 Marine Engineer's Certificate issued or recognised by the Zimbabwe Maritime Authority, with a minimum of eight (8) years of documented experience in inland and coastal marine engineering operations.

3.3 All services shall be performed at the buyer's designated operational sites within Zimbabwe Harare, including but not limited to the Harare Industrial Port, the Chikanga River docking facilities, and the buyer's maintenance yard at 45 Kwekwe Road, Harare.

3.4 The supplier shall ensure that the Marine Engineer maintains all necessary professional indemnity insurance, public liability insurance, and occupational health and safety certifications throughout the duration of this Purchase Order.

3.5 Payment terms: Net 30 days from the date of invoice submission. Payment shall be made via electronic funds transfer (EFT) to the supplier's designated bank account in Zimbabwe Harare. Late payments shall attract interest at the rate of 2% per month as stipulated under Zimbabwean commercial practice.

3.6 The supplier warrants that all work performed by the Marine Engineer shall meet or exceed the technical specifications outlined in Annexure A of this Purchase Order and shall comply with all applicable regulations of the Zimbabwe Maritime Authority and the International Association of Classification Societies (IACS).

3.7 Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall be liable for all services rendered up to the effective date of termination.

3.8 All disputes arising from this Purchase Order shall be resolved through arbitration in Zimbabwe Harare in accordance with the Arbitration Act of Zimbabwe (Chapter 7:15).

The Marine Engineer shall commence duties no later than 1 July 2025 at the buyer's primary facility in Zimbabwe Harare. The full preventive maintenance programme shall be completed within the first thirty (30) days of commencement. Monthly reports shall be submitted by the 5th business day of each subsequent month. The annual statutory inspections shall be scheduled in coordination with the Zimbabwe Maritime Authority's inspection calendar for the current fiscal year.
