- Acceptance: This Purchase Order shall become a binding agreement upon written acceptance by the Supplier. The Supplier must confirm acceptance in writing within five (5) business days of receipt of this Purchase Order. Failure to respond within this period shall render this Purchase Order null and void.
- Timeline: The Supplier shall present a minimum of three (3) qualified shortlisted candidates for the Marketing Manager position within thirty (30) calendar days from the date of this Purchase Order. The final selection and offer letter for the Marketing Manager shall be issued by the Buyer within fifteen (15) days of candidate presentation.
- Payment Terms: Payment shall be made in two installments: fifty percent (50%) of the total Purchase Order value (BDT 212,750) upon acceptance of this Purchase Order, and the remaining fifty percent (50%) (BDT 212,750) upon successful onboarding and commencement of duties by the appointed Marketing Manager in Bangladesh Dhaka. All payments shall be made via bank transfer to the Supplier's designated account in Bangladesh Dhaka.
- Qualification Requirements: The Marketing Manager candidate must hold a minimum of a Bachelor's degree in Marketing, Business Administration, or a related discipline from a recognized institution in Bangladesh or abroad. A minimum of eight (8) years of progressive marketing experience, with at least three (3) years in a senior leadership capacity within the Bangladesh Dhaka business environment, is mandatory. Proficiency in digital marketing platforms, SEO/SEM, social media strategy, and CRM systems is required.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all information exchanged in connection with this Purchase Order. The Supplier shall not disclose the identity of the Buyer or the specific requirements of the Marketing Manager position to any third party without prior written consent.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Bangladesh Dhaka.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions in Bangladesh Dhaka, or pandemics, provided that the affected party notifies the other in writing within forty-eight (48) hours.
- Amendments: No modification or amendment to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties.
- Compliance: The Supplier warrants that all services rendered under this Purchase Order shall comply with all applicable labor laws, employment regulations, and professional standards in force in Bangladesh Dhaka and the People's Republic of Bangladesh.
