All payments are subject to the presentation of a valid Nota Fiscal de Serviço (NFS-e) issued in the municipality of Rio de Janeiro, RJ. Late payments shall incur a monthly interest rate of 1% as stipulated under Brazilian commercial law.

• This Purchase Order is governed by the laws of the Federative Republic of Brazil, with specific application of commercial and labor regulations in force in the state of Rio de Janeiro and the municipality of Brazil Rio de Janeiro.
• The Supplier warrants that all Marketing Manager candidates presented shall meet the minimum qualifications specified in the attached job description, including a minimum of seven (7) years of progressive marketing experience, fluency in Portuguese and English, and demonstrated leadership of cross-functional marketing teams.
• All personal data processed during the recruitment of the Marketing Manager shall be handled in strict compliance with the Lei Geral de Proteção de Dados (LGPD – Law No. 13,709/2018), and the Supplier shall execute a Data Processing Agreement prior to any candidate data transfer.
• The Marketing Manager, once placed, shall be employed under a CLT (Consolidação das Leis do Trabalho) contract, and the Supplier's obligation is limited to the recruitment and placement services described herein. The employment relationship shall be exclusively between Atlantic Digital Solutions Ltda. and the Marketing Manager.
• Any dispute arising from this Purchase Order shall be resolved by the competent courts of the city of Rio de Janeiro, RJ, Brazil, or by arbitration under the rules of the CAM-CCBC (Câmara de Arbitragem do Centro de Conciliação e Arbitragem da Brasil-Canadá), at the option of the Purchasing Party.
• This Purchase Order becomes effective upon signature by both parties and remains valid for a period of thirty (30) calendar days from the date of issue. Failure to execute within this period shall render this Purchase Order null and void.
• The Supplier shall maintain professional liability insurance (Seguro de Responsabilidade Profissional) with a minimum coverage of R$ 500,000.00 for the duration of the engagement related to this Purchase Order.
• Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms of this Purchase Order, the identity of the Marketing Manager candidate, and all proprietary information exchanged during the recruitment process, for a period of two (2) years following the completion of services.

The Supplier shall present a shortlist of no fewer than three (3) qualified Marketing Manager candidates within twenty (20) business days of the execution of this Purchase Order. The final selection of the Marketing Manager shall be made by the Purchasing Party's executive leadership team. The appointed Marketing Manager shall commence duties at the company's headquarters located in Brazil Rio de Janeiro, no later than forty-five (45) calendar days from the date of this Purchase Order. All onboarding activities, including workspace provisioning, system access, and team introductions, shall be coordinated between the Supplier and the Purchasing Party's Human Resources department in Rio de Janeiro.
