1. Scope of Engagement: This Purchase Order authorizes the procurement of a qualified Marketing Manager for the buyer's operations in China Guangzhou. The Marketing Manager shall be responsible for developing and executing integrated marketing strategies, managing a team of no fewer than eight (8) marketing specialists, and reporting directly to the Vice President of Business Development.

2. Payment Terms: Payment shall be made in two installments: 50% (CNY 121,105.00) within fifteen (15) business days of the Marketing Manager candidate's confirmed acceptance of the offer; the remaining 50% (CNY 121,105.00) within thirty (30) business days after the Marketing Manager has successfully completed the probationary period in China Guangzhou. All payments shall be made via bank transfer to the supplier's designated corporate account in RMB (CNY).

3. Delivery / Placement Timeline: The supplier shall present a shortlist of no fewer than five (5) qualified Marketing Manager candidates within twenty-one (21) calendar days of the issuance of this Purchase Order. The final Marketing Manager candidate shall be placed and commence employment in China Guangzhou no later than sixty (60) calendar days from the date of this Purchase Order.

4. Candidate Qualifications: The Marketing Manager must possess a minimum of seven (7) years of progressive marketing experience, with at least three (3) years in a senior leadership role. Fluency in Mandarin Chinese is mandatory; proficiency in English is strongly preferred. The candidate must hold a valid or obtainable work permit for employment in China Guangzhou and demonstrate familiarity with the Guangdong Province digital advertising landscape.

5. Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms of this Purchase Order, the identity of the Marketing Manager candidate, and all proprietary information exchanged during the recruitment process in China Guangzhou. This obligation shall survive for a period of two (2) years following the completion of the engagement.

6. Governing Law and Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from or in connection with this Purchase Order shall be resolved through arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC) in Guangzhou, Guangdong Province. The seat of arbitration shall be China Guangzhou.

7. Cancellation: The buyer may cancel this Purchase Order prior to the Marketing Manager candidate's formal acceptance of the employment offer by providing written notice. In such event, the buyer shall be liable for a cancellation fee of 20% of the total Purchase Order value. Cancellation after the Marketing Manager has commenced employment in China Guangzhou shall be subject to the terms of the employment contract.

8. Validity: This Purchase Order is valid for a period of ninety (90) days from the date of issuance. If the Marketing Manager placement is not completed within this period, this Purchase Order shall automatically expire unless renewed in writing by both parties.
