- Governing Law: This Purchase Order shall be governed by and construed in accordance with the commercial and labor laws of the Democratic Republic of Congo, specifically as applicable in the city of Kinshasa. Any disputes arising from this Purchase Order shall be resolved through the competent commercial courts of Kinshasa, DR Congo.
- Scope of the Marketing Manager Role: The Marketing Manager shall be responsible for developing and executing comprehensive marketing strategies, managing the company's brand presence across all digital and traditional media channels, conducting market research specific to the Congolese consumer landscape, supervising a team of no fewer than four (4) junior marketing staff, and reporting directly to the Chief Executive Officer of Congo Digital Solutions SARL.
- Payment Terms: Payment for the Marketing Manager services shall be made on a monthly basis via bank transfer to the account designated by the supplier. Invoices must be submitted by the 5th business day of each month. Payment shall be processed within fifteen (15) business days of invoice receipt. All payments shall be denominated in United States Dollars (USD) and remitted through a licensed banking institution operating in Kinshasa, DR Congo.
- Compliance and Taxation: The supplier shall ensure that all statutory deductions, including but not limited to the Impôt sur le Révenu des Salaires (IRS), pension contributions (Caisse de Prévoyance), and any other mandatory levies under DR Congo tax law, are properly withheld and remitted on behalf of the Marketing Manager. The supplier shall provide monthly tax compliance certificates to the purchasing party.
- Performance and KPIs: The Marketing Manager shall be evaluated quarterly against predefined Key Performance Indicators (KPIs), including but not limited to: brand awareness growth of 15% per quarter, lead generation targets, digital engagement metrics, and successful execution of at least two (2) major marketing campaigns per quarter within the Kinshasa market.
- Termination: Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of termination, the Marketing Manager shall be entitled to all accrued and unpaid compensation, and the supplier shall facilitate a smooth transition period of no less than thirty (30) days.
- Confidentiality: The Marketing Manager shall be bound by a strict non-disclosure agreement (NDA) covering all proprietary business information, client data, marketing strategies, and trade secrets of Congo Digital Solutions SARL. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to civil unrest, natural disasters, government sanctions, or pandemics affecting operations in DR Congo Kinshasa.
- Amendments: Any modifications to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal agreements shall not constitute valid amendments to this document.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the procurement of a Marketing Manager in DR Congo Kinshasa. This document constitutes a binding commercial agreement effective from the date of the last signature.
