This Purchase Order is issued by Rhône-Alpes Digital Solutions SAS for the recruitment, onboarding, and first-year professional engagement of a Marketing Manager to be based in the France Lyon metropolitan area. The Marketing Manager shall be responsible for developing and executing integrated marketing strategies, managing the regional brand presence across the Auvergne-Rhône-Alpes region, overseeing digital and traditional marketing channels, and leading a team of no fewer than six (6) marketing specialists. The Marketing Manager position is to be filled within the France Lyon business district, with primary office operations conducted at the buyer's headquarters located on Quai de Serbie, 69009 Lyon.
The scope of this Purchase Order encompasses the full lifecycle of the Marketing Manager engagement, including candidate sourcing, interview coordination, background verification in compliance with French data protection regulations (RGPD/GDPR), contract negotiation, onboarding facilitation, and a twelve-month post-placement support period. All recruitment activities shall be conducted in strict adherence to French labor law (Code du travail) and the specific employment regulations applicable to the France Lyon jurisdiction.

- Acceptance: This Purchase Order shall become binding upon written acceptance by the Service Provider. The Service Provider must confirm acceptance in writing within ten (10) business days of the date of issue. Failure to confirm within this period shall render this Purchase Order null and void.
- Delivery and Performance: All services described herein, including the placement of the Marketing Manager, shall be completed no later than 31 August 2025. The Marketing Manager is expected to commence duties at the France Lyon office no later than 1 September 2025.
- Payment Schedule: Payment shall be made in three (3) installments: 40% upon signing of this Purchase Order, 40% upon successful placement and first-day attendance of the Marketing Manager in France Lyon, and 20% upon completion of the twelve-month support period. All payments shall be made via SEPA bank transfer to the account specified by the Service Provider.
- Compliance with French Law: All activities under this Purchase Order shall comply with the French Labor Code (Code du travail), the French Data Protection Act, and all applicable regulations of the France Lyon Chamber of Commerce and Industry (CCI de Lyon). The Marketing Manager shall be employed under a standard French CDI (Contrat à Durée Indéterminée) or CDD (Contrat à Durée Déterminée) as mutually agreed upon.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms of this Purchase Order, the identity of the Marketing Manager candidate(s), and all proprietary business information exchanged during the recruitment and onboarding process in France Lyon.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of early termination, the Service Provider shall be compensated for all services rendered up to the date of termination, and the Marketing Manager engagement shall be handled in accordance with French employment termination procedures.
- Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved amicably. Failing amicable resolution, the matter shall be submitted to the competent commercial court of France Lyon (Tribunal de Commerce de Lyon) in accordance with French procedural law.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government mandates affecting the France Lyon region, or public health emergencies.
