1. This Purchase Order constitutes a binding agreement between TechNova Solutions Pvt. Ltd. (Buyer) and Apex Talent Partners India Pvt. Ltd. (Supplier) for the procurement of professional recruitment and placement services related to the Marketing Manager position. The Purchase Order shall be governed by and construed in accordance with the laws of India, specifically the Indian Contract Act, 1872, and all applicable labour, employment, and data protection statutes in force in the state of Karnataka, India Bangalore. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in India Bangalore.
3. The Supplier warrants that the Marketing Manager candidate placed under this Purchase Order shall possess a minimum of 8 years of progressive experience in marketing, with at least 3 years in a managerial or senior leadership capacity. The candidate shall hold a relevant postgraduate degree (MBA/PGDM) from an AICTE-approved institution in India.
4. Payment of the total amount of ’ 3,59,900 (INR) shall be made via NEFT/RTGS to the Supplier’s designated bank account within thirty (30) calendar days from the date of receipt of a valid tax invoice. The Purchase Order number PO/IN/BLR/2025/00472 shall be referenced on all payment instruments.
5. The Supplier shall ensure full compliance with the Digital Personal Data Protection Act, 2023, and all applicable regulations in India Bangalore regarding the collection, processing, and storage of personal data of the Marketing Manager candidate during the recruitment and onboarding process.
6. Neither party shall be liable for delays or non-performance caused by force majeure events, including but not limited to natural disasters, government-mandated lockdowns, or civil unrest affecting the India Bangalore metropolitan area.
7. This Purchase Order shall remain valid for thirty (30) days from the date of issue. If the Marketing Manager onboarding is not completed within this validity period, the Purchase Order shall be deemed lapsed unless renewed in writing by both parties.
8. All intellectual property, marketing strategies, client data, and proprietary information developed or accessed by the Marketing Manager during the course of employment shall remain the exclusive property of TechNova Solutions Pvt. Ltd. The Supplier shall execute a non-disclosure agreement prior to commencing services under this Purchase Order.
9. The Supplier shall provide a detailed service delivery timeline within five (5) business days of acceptance of this Purchase Order, outlining the recruitment milestones, interview scheduling, and expected onboarding date for the Marketing Manager at the India Bangalore office.
