This Purchase Order constitutes a binding agreement between Meridian Digital Solutions Pvt. Ltd. (hereinafter "the Buyer") and Apex Talent Partners LLP (hereinafter "the Vendor") for the procurement of professional services related to the engagement of a Marketing Manager in India Mumbai.
The Marketing Manager shall report to the Mumbai headquarters located at BKC, Bandra Kurla Complex, and shall be physically present at the office for a minimum of five (5) working days per week during the initial 90-day probation period.
Payment shall be made via NEFT/RTGS to the bank account specified in Section 2 within fifteen (15) calendar days of receipt of a valid tax invoice from the Vendor, subject to satisfactory completion of the onboarding milestones outlined in the attached Service Level Agreement (SLA).
All services rendered under this Purchase Order shall comply with the applicable provisions of the Indian Contract Act, 1872, the Income Tax Act, 1961, the Companies Act, 2013, and all relevant labour and employment regulations applicable in the State of Maharashtra, India.
The Vendor warrants that the Marketing Manager shall not be under any non-compete or non-disclosure obligation with any third party that would conflict with the duties assigned under this engagement in India Mumbai.
Any modification, amendment, or cancellation of this Purchase Order shall be valid only upon written consent signed by both the CFO of the Buyer and the Director of the Vendor.
In the event of a dispute arising from this Purchase Order, both parties agree to resolve the matter through arbitration in Mumbai, Maharashtra, in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Mumbai, India.
The Vendor shall maintain professional indemnity insurance of not less than INR 50,00,000 for the duration of the engagement period.
All intellectual property, marketing strategies, brand assets, and campaign materials developed by the Marketing Manager during the course of employment shall be the exclusive property of Meridian Digital Solutions Pvt. Ltd.
This Purchase Order is governed by and shall be construed in accordance with the laws of the Republic of India, and the courts of Mumbai, Maharashtra shall have exclusive jurisdiction.

The Vendor shall ensure that the Marketing Manager is fully onboarded, has completed all statutory registrations (PAN, Aadhaar-linked bank account, EPF, ESI, and Professional Tax registration for Maharashtra), and has submitted a 90-day marketing action plan to the VP of Corporate Strategy no later than 30 days from the commencement date. Acceptance of the Marketing Manager engagement shall be confirmed in writing by the Buyer's Human Resources Director within five (5) working days of the onboarding completion. Failure to meet the delivery timeline shall entitle the Buyer to a penalty of 1% of the total Purchase Order value per day of delay, capped at 10% of the total value.
