- Scope of Engagement: This Purchase Order authorizes the engagement of Michal Ben-David as Marketing Manager on a full-time independent contractor basis. The Marketing Manager shall be responsible for developing and executing all marketing strategies for Horizon Digital Solutions Ltd., with primary focus on the Israel Tel Aviv market and secondary focus on the broader Israeli consumer landscape.
- Work Location and Schedule: The Marketing Manager shall report to the Horizon Digital Solutions headquarters located at 45 Allenby Street, Tel Aviv, Israel, no fewer than four (4) days per week. Remote work from any location within Israel Tel Aviv or its metropolitan area is permitted on the remaining day, subject to prior approval by the Director of Operations.
- Payment Schedule: Invoices shall be submitted on the last business day of each calendar month. Payment under this Purchase Order shall be processed within thirty (30) calendar days of receipt of a valid invoice. All payments shall be made via bank transfer to the account designated by the Marketing Manager, denominated in Israeli New Shekels (ILS).
- Tax and Regulatory Compliance: The Marketing Manager is responsible for all personal income tax obligations, National Insurance (Bituach Leumi) contributions, and any other statutory deductions applicable under Israeli labor and tax law. Horizon Digital Solutions Ltd. shall withhold the applicable 18% Value Added Tax (VAT) as stipulated by the Israel Tax Authority. The Marketing Manager must maintain a valid business license (Rishui) registered in Tel Aviv, Israel.
- Intellectual Property: All marketing materials, strategies, campaign assets, brand guidelines, and proprietary data created by the Marketing Manager in the course of fulfilling this Purchase Order shall be the exclusive property of Horizon Digital Solutions Ltd. upon payment in full. The Marketing Manager grants an irrevocable, perpetual license to use all deliverables without additional compensation.
- Confidentiality: The Marketing Manager agrees to maintain strict confidentiality regarding all trade secrets, customer data, financial information, and strategic plans of Horizon Digital Solutions Ltd. This obligation shall survive the termination of this Purchase Order for a period of three (3) years, in compliance with the Israeli Privacy Protection Law, 5741-1981.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, all outstanding invoices for services rendered up to the termination date shall be paid in accordance with the payment terms specified herein.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Israel. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Tel Aviv, Israel.
- Non-Exclusivity: The Marketing Manager may undertake additional professional engagements outside the scope of this Purchase Order, provided that no conflict of interest arises and no competing services are rendered to direct competitors of Horizon Digital Solutions Ltd. within the Tel Aviv market.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to circumstances beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting operations in Israel Tel Aviv.
