1. Description of Procurement

This Purchase Order is issued by Campania Digital Solutions S.r.l. to formally request and authorize the recruitment, onboarding, and engagement of a qualified Marketing Manager to be based at our principal office in Italy Naples. The Marketing Manager shall be responsible for developing and executing integrated marketing strategies, managing a team of no fewer than six (6) marketing specialists, overseeing digital and traditional advertising campaigns across the Campania region, and reporting directly to the Chief Executive Officer. The scope of this Purchase Order encompasses the full recruitment cycle, including candidate sourcing, interview coordination, background verification, contractual negotiation, and initial onboarding support for a period of ninety (90) days from the Marketing Manager's start date.

2. Scope of Services and Deliverables

4. Payment Terms

Payment for this Purchase Order shall be made via bank transfer (bonifico bancario) to the supplier's designated IBAN within thirty (30) days of receipt of a valid invoice. The payment schedule is structured as follows: 40% upon successful placement and signing of the Marketing Manager's employment contract; 35% upon completion of the 90-day onboarding period; and 25% upon the Marketing Manager's first full quarterly performance review. All payments are subject to the terms set forth in this Purchase Order and applicable Italian commercial law.

5. Terms and Conditions

This Purchase Order constitutes a binding agreement between Campania Digital Solutions S.r.l. and TalentBridge Executive Search S.p.A. upon countersignature by both parties. All disputes arising from this Purchase Order shall be resolved under the exclusive jurisdiction of the Courts of Italy Naples (Tribunale di Napoli).
The Marketing Manager engaged under this Purchase Order shall be subject to Italian employment law, including but not limited to the statutory notice periods, paid leave entitlements (minimum 26 working days per annum), and social security contributions (INPS) as applicable in the Province of Naples.
The supplier warrants that the Marketing Manager candidate shall possess all qualifications, certifications, and professional references as specified in the job description annexed to this Purchase Order. Any material misrepresentation shall entitle the issuing company to full refund of amounts paid.
Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms of this Purchase Order, the identity of the Marketing Manager candidate, and all proprietary business information exchanged during the recruitment process, in compliance with Italian data protection legislation.
Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters affecting the Italy Naples region, government-mandated closures, or pandemics, as defined under Article 1218 of the Italian Civil Code.
Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination prior to the Marketing Manager's placement, the supplier shall refund all pre-paid amounts less documented, non-recoverable expenses.
This Purchase Order is governed by and shall be construed in accordance with the laws of the Italian Republic. The applicable collective bargaining agreement for the Marketing Manager role shall be the CCNL Commercio, Turismo e Servizi, as in force in the Italy Naples area.

6. Acceptance and Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the procurement of a Marketing Manager to be based in Italy Naples. This document, together with any annexed job descriptions and service-level agreements, forms the complete and exclusive agreement between the parties with respect to the subject matter herein.
