4.1 Delivery and Commencement: The vendor shall commence the Marketing Manager recruitment process within five (5) business days of the execution of this Purchase Order. The successful Marketing Manager candidate must be ready to report for duty at the Japan Kyoto headquarters no later than August 1, 2025.
4.2 Payment Terms: Payment shall be made in three (3) installments: 40% upon execution of this Purchase Order, 35% upon successful placement and first-day attendance of the Marketing Manager in Kyoto, and 25% upon completion of the 90-day onboarding period. All payments shall be made via bank transfer to the vendor's designated account in Japanese Yen (JPY).
4.3 Confidentiality: The vendor acknowledges that all information pertaining to the Marketing Manager role, candidate data, and internal strategies of Kyoto Digital Solutions Co., Ltd. shall be treated as strictly confidential. This obligation extends to all personnel involved in the recruitment and onboarding process within Japan Kyoto.
4.4 Compliance: The vendor shall ensure full compliance with all applicable Japanese labor laws, including the Labor Standards Act, the Personal Information Protection Act, and any local ordinances specific to the city of Kyoto. The Marketing Manager's employment contract shall be governed by Japanese law.
4.5 Intellectual Property: All marketing strategies, campaign materials, and brand assets developed by the Marketing Manager during the engagement period shall be the exclusive property of Kyoto Digital Solutions Co., Ltd.
4.6 Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination prior to placement, the vendor shall refund all fees paid less documented expenses incurred up to the date of termination.
The Marketing Manager is expected to conduct regular field visits to key commercial districts in Kyoto, including Gion, Fushimi, and Arashiyama, to maintain direct engagement with local partners, media outlets, and consumer segments. The vendor's onboarding support must account for the unique business culture of Japan Kyoto, including seasonal marketing considerations tied to cherry blossom season (sakura), autumn foliage (koyo), and traditional festival periods (matsuri). The Marketing Manager shall report directly to the Regional Director, Kansai Division, and will be based at the Higashiyama-ku office during standard business hours (09:00–18:00 JST, Monday through Friday).

This Purchase Order (PO No. KDS-2025-MM-0047) constitutes a binding agreement between the parties for the procurement of Marketing Manager recruitment and onboarding services in Japan Kyoto.
